Summary & Scope:
The Director, Tax – United States will lead the tax function for all US-based Samuel operations, ensuring compliance with applicable tax laws and regulations. This role will be actively engaged in the preparation of tax returns, oversee tax planning, and works closely with other finance and legal teams to ensure efficient tax strategies are in place that will add value to the organization and contribute to the continued profitability of the tax function. This position requires a director who is knowledgeable, but also practical with the implementation of tax legislation, must have impeccable business acumen, and a proven ability to quickly deliver under tight deadlines in an ever-changing environment.
Responsibilities:
Tax Compliance
- Ensure the timely preparation, review, and filing of all federal, state, and local tax returns.
- Maintain compliance with all US tax laws, regulations, and reporting requirements.
- Manage and improve the tax compliance process, identifying areas for continuous improvement and efficiency.
Tax Planning and Strategy
- Develop and implement tax strategies to optimize the company’s tax position and apply strategies to add value allowing the tax function to operate as a profit center.
- Advise on the tax implications of business operations, transactions, and acquisitions.
- Provide guidance on potential tax risks and opportunities
Tax Reporting
- Oversee tax provision processes for financial reporting under IFRS.
- Ensure accurate and timely reporting of tax assets, liabilities, and related disclosures.
- Collaborate with finance teams to ensure accurate tax reporting in financial statements
Audit Management
- Manage tax audits and inquiries from federal and state tax authorities.
- Represent the company in discussions with tax authorities, including preparing responses to audits.
- Ensure proper documentation and defense of tax positions taken
Team Leadership
- Oversee the performance and development of one direct report (Manager, US Tax).
- Lead, mentor, and develop the US tax team, ensuring high performance.
- Foster a collaborative working environment between the tax department and other departments and business units (finance, legal, etc.).
- Drive continuous improvement initiatives in tax processes and controls
Tax Research and Analysis
- Stay current with changes in tax legislation and regulatory developments.
- Conduct tax research and analysis to assess the impact of changes on the company.
- Provide internal stakeholders with updates on tax issues and strategies
Mergers & Acquisitions
- Support due diligence and integration activities for mergers, acquisitions, and other business transactions.
- Advise on tax-efficient structuring of transactions
Education & Certifications:
- University degree in Finance, Accounting, or related field.
- Professional Designation, such as Certified Public Accountant (CPA) or equivalent.
- Master’s degree in taxation considered an asset.
Qualifications:
- 10+ years’ experience, with increasing levels of responsibility, with:
- Audit and tax function experience with a public accounting firm.
- Corporate tax function experience of a multinational public company
- Strong to excellent experience with provisions and preparation of returns
- Experience in the metal processing, distribution and industrial products industry would be an asset.
- Excellent research, analytical, writing and communication skills.
- A strong sense of ownership, attention to details and commitment to completion of projects
- Active experience with Oracle’s Hyperion Financial Management reporting system would also be an asset.
- Hands on experience leading the identification, quantification, and monetization of tax incentives such as Research & Development Credits
- Demonstrates an excellent understanding of U.S. Federal Income Tax
- Proven track record, supported by concrete examples, of successfully implementing practical applications of tax legislation to ensure full compliance.
- Strong historical background with development and implementation of streamlined procedures and process to expedite the filing of accurate tax returns.
- Demonstrates a thorough understanding of the financial reporting of income taxes and related risks.
- Solid hands-on verifiable experience using the Effective Tax Rate Method for interim reporting and preparation of annual income tax provisions, including drafting related note disclosures with a strong focus on accuracy and timely preparation.
- Demonstrates a good understanding and practical experience with inbound financing structures and general understanding of transfer pricing.
- Proven ability to effectively manage tax audits.
