The Legal Counsel oversees legal and regulatory matters for the organization's business strategy, governance, compliance, and daily operations. The role involves fostering relationships with key stakeholders and serving as a lead on trust agreements and policies related to health information exchange programs, including TEFCA, CMS regulations, information blocking rules, and public policy.
Essential Functions
- Manage all legal affairs in coordination with management.
- Identify and mitigate risks.
- Develop and manage legal strategy aligned with the company’s mission.
- Provide legal and strategic guidance on various business issues.
- Advise on legal, governance, policy, and compliance matters.
- Prepare legal briefs, corporate resolutions, and governance materials.
- Review and advise on contracts.
- Provide legal counsel to organizational leaders on a wide range of issues.
- Collaborate with leaders on legal and risk matters.
- Offer sophisticated legal services on complex matters.
- Stay current on legal developments and respond to changes in laws and regulations.
- Provide on-call legal services for urgent matters.
- Deliver training on legal issues.
- Manage and oversee the work of outside counsel.
- Support corporate and regulatory matters, including affiliations, payor contracts, and health care regulatory issues.
- Assist with business and clinical leaders on new initiatives.
- Support TEFCA and other data exchange frameworks.
- Research legal and compliance issues.
- Advise on risk management and provide mitigation recommendations.
- Draft, review, and negotiate contracts with various stakeholders.
- Manage and utilize outside counsel effectively.
- Stay informed on relevant laws and regulations.
- Perform and coordinate privacy risk assessments and compliance monitoring.
- Develop and monitor business associate agreements.
- Handle complaints regarding privacy policies and procedures.
- Maintain knowledge of privacy laws and technologies.
- Create and deliver presentations and other materials.
- Perform other duties and special projects as required.

Physical Demands
Exerts up to 10 lbs. of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects, including the human body. Involves sitting most of the time, but may involve walking or standing for brief periods of time. The worker is subject to substantial overtime, evening meetings, on-call status, contact with chemicals, contact with infectious fluids, heavy lifting, constant standing, extensive close work, extensive computer work, and encounters with upset/disturbed individuals.
Required Education and Experience
Juris Doctor (JD)
Licensed in Arizona
Preferred Education and Experience
12+ years of experience, preferably with health care clients and in-house experience.
Experience drafting and negotiating complex physician contracts and agreements.
Experience advising companies on legal issues, board operations, bylaws, and regulatory filings.
Experience negotiating data network agreements.
Additional Eligibility Requirements
Proficiency in MS Office tools (Outlook, Word, Excel, PowerPoint, Teams, SharePoint).
Ability to work on a computer for extended periods.
Ability to stand or sit for extended periods.
Extended working hours and travel may be necessary.
Occasional lifting of 15 to 20 lbs.
