Are you a detail-oriented multitasker with a passion for law? We are seeking a proactive and sharp Legal Assistant to join our dynamic team and help us deliver exceptional legal services to our clients. As a Legal Assistant at our firm, you’ll play a vital role in supporting our attorney in Real Estate, Business/Corporate, and Estate Planning matters while ensuring our office operates efficiently. We prefer candidates with at least 2 years of experience and knowledge of the above practice areas. However, we understand that many talented individuals are eager to grow in this field. For exceptional candidates without prior experience, we are willing to provide training and mentorship to help you succeed. Compensation: $16 - $28.50 hourly, based on experience. Candidates with 2+ years of experience will be compensated at the higher end of the range. Entry-level candidates will start at the lower end, with opportunities for raises and promotions based on performance. This is a Full Time Position.

Responsibilities:

  1. Use daily time records to properly process client billing with support from the accounting department.
  2. Accept other administrative tasks as needed to assist the team and ensure the firm runs smoothly.
  3. Handle office correspondence and administrative tasks such as responding to emails and phone calls, communicating with opposing attorney offices, taking dictation, and letting the team know about upcoming deadlines.
  4. Perform legal research, as needed, with help from attorneys and paralegals.
  5. Coordinate schedules for the team, including client meetings and real estate closings, while ensuring smooth collaboration with transaction participants.
  6. Draft and prepare legal documents across various corporate transactional matters, including entity formation, reorganizations, mergers, acquisitions, stock sales, asset sales, and shareholder buyouts under attorney supervision.
  7. Handle corporate entity formation filings, prepare organizational consents, bylaws, company agreements, and partnership agreements, and obtain EINs and state qualifications as needed.
  8. Maintain and update client corporate records, including minute books, stock certificates, ledgers, and annual consents.
  9. Monitor transactional document progression, maintain detailed closing checklists, and ensure timely transaction execution.
  10. Prepare due diligence request lists, analyze compliance documents, and collaborate with clients and attorneys to address transaction-related challenges.
  11. Oversee post-closing matters, organizing and distributing final documentation binders.
  12. Proofread, compile, and edit drafts of contracts, leases, policies, and other legal documents with precision and attention to detail.

Qualifications:

  1. Ability to comfortably use all Microsoft Office products.
  2. Applicants must have excellent communication skills and organizational skills.
  3. Ability to work effectively in a fast-paced environment and meet deadlines with quick turnaround times.
  4. Preferred: Minimum 2 years of paralegal experience in a law firm environment, preferably in Real Estate, Business/Corporate, or Estate Planning.
  5. Considered: Entry-level candidates with a strong desire to learn and grow in the legal field.
  6. Ability to handle contracts/agreements and manage tasks independently with attorney oversight (training provided for entry-level candidates).
  7. Empathy, patience, and excellent communication skills to foster positive client and team relationships.
  8. Strong organizational skills to prioritize tasks and meet deadlines.

Compensation: $16 - $28.50 hourly based on experience.
