May 18, 2022 Profile: This exciting new role reports directly to the Chief Executive Officer of the Hoag Orthopedic Institute (HOI), a for-profit, partially physician-owned orthopedic and spine specialty hospital and ASC network. Our ideal Chief Legal Officer (CLO) candidate will be responsible for overseeing all legal matters related to HOI, contributing to the fulfillment of HOI's mission by protecting the legal interests of the organization and its related businesses and entities. This individual will be an essential participant in the development of business deals, partnerships, strategic and programmatic initiatives. The CLO provides legal advice to the full breadth of clients across the HOI enterprise, including strong contracts/agreements development and management experience, compliance, legal memoranda, business relationships, mergers and acquisitions, physician relations, and governance. In addition, they will be responsible for overseeing, selecting, and managing outside counsel, as needed. ESSENTIAL FUNCTIONS: Provides legal advice, guidance, and representation to HOI and its related entities with respect to corporate governance, business transactions, leases, hospital operations, medical staff, risk management, regulatory requirements, policy, advocacy, partnership syndication, fair market valuations, and compliance and privacy matters. Relevant areas of law include corporate law, mergers and acquisitions, governance, joint ventures, regulatory matters, employment matters, fraud and abuse, HIPAA, provider-payor contracts, real estate matters, insurance-related matters, medical malpractice, intellectual property, and employment. Provides business and legal perspective and advice on a wide range of strategic, tactical, and operational issues to the HOI enterprise. Advises and directs C-Suite and Board on healthcare regulatory matters that arise, including conflicts of interest, Stark law, fraud and abuse laws, HIPAA, HITECH, and licensure to minimize risk and expense to the entities while meeting business objectives. Develops, maintains, and updates corporate documents, including articles, bylaws, policies, licenses, corporate minutes, regulatory filings, leases, and contracts. Manages HOI's involvement in litigation or administrative proceedings as a party or amicus curiae. Drafts, reviews, and/or negotiates documents including filings, provider agreements, subscriber contracts, regulatory filings, applications, and correspondence. REQUIREMENTS: Undergraduate degree and a law degree from a nationally recognized and accredited institution; licensed to practice law in the state of California. Minimum of 5 years' healthcare law experience. Demonstrated outstanding judgment and a track record of serving as a key member of an organization. Ability to influence major decisions having legal ramifications through reasoned analysis. Demonstrated superior legal talent with the ability to focus on and counsel senior leaders on the major issues facing the HOI enterprise. Excellent speaking and writing skills, including the ability to clearly describe complex issues. Ability to exercise judgment and diplomacy while addressing sensitive or challenging issues with internal or external stakeholders. Ability to think creatively and strategically. Proven ability to work well with senior operating executives and physicians, leveraging strong intellectual, conceptual, and analytical skills. Models collegiality and collaboration.
