The ideal candidate will have a background in representing private equity sponsors, as well as private and public companies, in mergers and acquisitions (M&A), joint ventures, and other investment transactions. The attorney will also manage portfolio company work, draft and negotiate transaction documents, coordinate deal teams, and manage signing and closing processes. Duties: Represent private equity sponsors and private/public companies in M&A transactions, joint ventures, and other investment deals. Draft and negotiate key transaction documents, including purchase agreements, joint venture agreements, and shareholder agreements. Manage and coordinate deal teams, including internal departments and external specialists such as tax, intellectual property, and regulatory experts. Oversee the signing and closing processes, ensuring all legal and financial requirements are met. Advise clients on structuring and executing investment transactions, including portfolio company matters. Conduct due diligence and risk assessment for M&A transactions and other investment-related legal matters. Collaborate closely with clients, partners, and other stakeholders to ensure deals are executed efficiently and in line with client goals. Provide strategic legal counsel on complex M&A and private equity transactions, ensuring compliance with applicable laws and regulations. Requirements: 2-7 years of experience as an attorney, with a focus on private equity, M&A, and joint ventures.
