Senior Corporate Counsel - ASRC Energy Services
JOB SUMMARY
The ASRC Energy Services Legal Department provides legal, compliance, and risk management advice and support to AES's operations and support services functions. The Senior Corporate Counsel assists in protecting AES's legal interests and maintaining its operations within the scope established by law. The position provides hands-on counsel to all levels of staff, presents clear recommendations to top management, and assures legal compliance. The Senior Corporate Counsel identifies and analyzes legal issues and drafts key documents and policies.
ESSENTIAL DUTIES
- Provide expert legal advice on a variety of matters.
- Draft, review, and negotiate commercial agreements with vendors, customers, and partners.
- Assist with maintaining and enhancing AES's compliance programs, ensuring alignment with applicable laws and regulations, and contributing to a strong culture of compliance.
- Identify potential areas of legal exposure and advise on risk mitigation strategies.
- Provide legal guidance on employment-related issues, including hiring practices, benefits, employee relations, separations, and workplace policies.
- Assist in managing disputes, claims, and litigation.
- Support the effective and efficient use, coordination, and management of outside counsel.
- Help create, implement, and maintain corporate policies, procedures, and training programs to ensure legal compliance and effective business operations.
- Assist with other legal department objectives.
- Comply with AES and customer policies and procedures.
- Support AES zero-incident safety culture and assume personal accountability and responsibility for safe work practices in all projects, activities, and operations.
- Other duties will be assigned to this position as needed.
REQUIRED EXPERIENCE
- 4+ years of legal experience, with 7+ years preferred.
- J.D. degree (or foreign equivalent) and membership in at least one US state bar.
- Excellent writing skills.
- Preferred experience in one or more of:
- Federal government contracting and grants
- Corporate law and structures
- Drafting and reviewing contracts and other transactional documents
- Construction contracting and disputes
- Labor and employment law
- Must have a high school diploma or GED equivalent.
- Valid driver's license required.

WORK ENVIRONMENT
A candidate must be able to meet the following non-exclusive requirements:
- Meet the AES Driving Records and Motor Vehicle Use Policy.
- Take and pass a pre-employment drug test which may include both UA and hair testing.
- Meet the physical requirements of this position.
- Complete and successfully pass a background check.
- Must be able to obtain and maintain an access badge for the work location.
The availability of this position is contingent upon the Company's continued operational needs once training is completed.
