Position Summary

We are looking for a Corporate Secretary and Senior Corporate Paralegal, Governance and Compliance to serve the Integrity Legal team. This position will be responsible for managing the Company's subsidiary governance function within Corporate Governance, ensuring compliance with applicable laws and regulations, and maintaining the Company's capitalization table, among other corporate functions. This position will have a junior corporate Paralegal as a direct report. The successful candidate will have experience in entity management, corporate governance, maintenance of books and records, and supporting complex transactions. The successful candidate must also be able to operate independently in a fast-paced environment, prioritize a dynamic workload, and possess excellent judgment and exceptional attention to detail. Strong interpersonal skills are required, as this role will collaborate closely with cross-functional teams, including executives. The ability to maintain confidentiality and operate with the highest ethical standards and professionalism is essential.

The Corporate Secretary and Senior Corporate Paralegal will report to the Chief Legal Officer and will serve as the primary person responsible for: (i) legal entity management; (ii) initial preparation of corporate governance documents and other legal documents; (iii) directing the work of other support staff; (iv) creation and administration of legal databases; (v) ensuring compliance with regulatory and statutory requirements; and (vi) management of the company's capital table and implementation of a new system to support capital table administration. The individual will implement and use software and applications including entity management software to assist with their work and will be experienced, organized, and proactive. The individual will play an important role in the corporate governance of Integrity and will work collaboratively with the Integrity Legal and Finance teams. Primary Responsibilities
  1. Proper entity management to ensure compliance with relevant laws and regulations, including maintaining accurate entity, director, manager, and officer records, filing necessary documents with government authorities, and adhering to reporting requirements. Implement, administer, and maintain a new legal entity management SaaS system.
  2. Manage and maintain the company's capitalization table database in our SaaS system.
  3. Prepare and file articles of corporate governance documents including LLC agreements, articles of organization, consents, minutes, annual reports, entity registrations, and renewals.
  4. Work collaboratively with important stakeholders at Integrity to ensure that important business objectives are met.
  5. Collaborate with legal, compliance, licensing, finance, and regulatory teams to ensure robust internal processes over corporate governance are met.
Must-Have:
  1. Bachelor's degree or equivalent in a related field.
  2. 10+ years of relevant experience.
  3. 5+ years of work experience in general corporate matters in a law firm or in-house public company legal environment, preferably including a demonstrable history of experience with domestic and international entity governance matters.
  4. Experience in developing and maintaining filing and entity docketing systems and proficiency in accurate recordkeeping.
  5. Good judgment, integrity, high energy, and demonstrated understanding of general business values and ethics.
  6. Strong intellectual curiosity and desire to professionally develop and grow.
  7. Service-oriented and good team player; willing to "roll up sleeves" and work independently.
  8. Working knowledge of legal entity management systems (e.g., Kube, Diligent) and charting tools (Visio, Lucidchart).
  9. Working knowledge of capitalization table management systems and tools (e.g., GlobalShares).
  10. Excellent writing and communication skills and the ability to identify, initiate, and tactfully conclude strategic objectives with all levels of management, departments, and representatives in a collaborative, team-based environment.
  11. Strong attention to detail with excellent organizational and prioritization skills.
  12. Ability to act independently and proactively, with the ability to identify situations requiring attorney oversight.
  13. Experience handling confidential information and familiarity with methods to maintain confidentiality.
  14. Demonstrated leadership abilities including the ability to influence and collaborate with peers, develop and coach others, and oversee and guide the work of other colleagues.
  15. Interest in the insurance and financial services industry and desire for long-term career development in this space.
Nice-to-Have:
  1. Paralegal Certification
  2. Proven ability to work under pressure and within tight time frames.
  3. Experience with Section 16 reporting tools and Workiva.
  4. GlobalShares, Kube or CSC entity management experience.
  5. Experience in the life and health insurance industry (including in wealth management or asset management).
