Corporate Securities Associate Attorney

Posted on Oct 31, 2024 Profile A law firm in Fort Lauderdale is seeking a Corporate Securities Associate Attorney with experience representing issuers in public and private offerings of debt and equity securities, including initial public offerings (IPOs) and follow-on offerings. The ideal candidate will also have additional experience advising pre-IPO and public companies on disclosure, corporate governance, SEC and stock exchange reporting, and compliance matters. Duties: Represent issuers in public and private offerings of debt and equity securities. Assist with initial public offerings (IPOs) and follow-on offerings for both private and public company clients. Counsel pre-IPO and public companies on disclosure requirements, corporate governance best practices, and compliance with SEC and stock exchange regulations. Prepare Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements. Provide legal advice and support on general corporate matters. Requirements: Juris Doctor (JD) degree from an accredited law school. Admission to the state bar in Florida (preferred). 2+ years of experience representing private and public company clients in capital market transactions and corporate securities matters. Experience with SEC reporting and compliance requirements. Familiarity with corporate governance principles and best practices. Experience representing foreign private issuers is a plus. Certifications: Any relevant certifications in securities law or corporate governance are advantageous. Skills: Strong understanding of securities laws and regulations. Excellent drafting and communication skills. Ability to manage multiple projects and work efficiently under tight deadlines. Detail-oriented with a commitment to accuracy in legal work.
