This associate will represent institutional investors with a focus on securing governance reforms at public companies, enhancing market transparency, and holding wrongdoers accountable. The firm’s Corporate Governance team has a proven history of achieving landmark outcomes in cases involving shareholder rights, executive compensation, and boardroom accountability. Duties: Represent institutional investors in corporate governance litigation with a focus on achieving precedent-setting reforms. Work on complex cases related to shareholder rights, fiduciary duty breaches, self-dealing, executive compensation, and workplace discrimination. Collaborate with senior attorneys and clients to formulate strategies that protect the shareholder franchise and improve corporate business practices. Take an active role in managing cases, including preparing for and engaging in litigation against senior attorneys. Handle multiple cases simultaneously, ensuring high-quality work is delivered within deadlines. Demonstrate leadership in driving cases forward, with proactive communication and time management. Requirements: Juris Doctor (JD) degree required (2019-2021 graduate preferred, with some flexibility for exceptional candidates). Admission to the New York and/or Delaware Bar. Experience in prosecuting or defending breach of fiduciary duty cases at a national or Delaware law firm. Service as a Delaware Chancery Court judicial clerk is a plus. Strong financial literacy and understanding of corporate governance principles. Ability to work on a steep learning curve with hands-on training. Entrepreneurial mindset and a proactive approach to case management and client representation. Desire to represent investors, rather than corporations. Strong communication, multitasking, and time management skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Admission to the New York and/or Delaware Bar (or eligibility to be admitted). Skills: Strong financial acumen and understanding of corporate governance issues. Excellent written and oral communication skills for client interactions and court presentations. Ability to manage multiple, complex cases with attention to detail. Entrepreneurial spirit, with a proactive approach to casework. Ability to work collaboratively within a team and engage effectively with senior attorneys.
