The VP - CM Governance Specialist role is responsible for ensuring that the organization operates with transparency, integrity, and in compliance with legal, regulatory, and internal policies and standards. This role provides strategic guidance and collaborates across various bank stakeholders on the development of efficient governance structures inclusive of risk management frameworks. Key Responsibilities: Governance Structure and Policy Oversight:
Develop and maintain assigned governance frameworks for Capital Markets and Capital Markets’ material legal entities. Provide input into applicable policies and procedures to support effective decision-making and organizational accountability. Ensure that governance structures are regularly reviewed and updated to reflect changes in laws, regulations, internal processes, and industry standards. Recommend best practices and identify efficiency opportunities related to governance and management operations. Develop risk governance frameworks to support accountable leaders in alignment with the enterprise risk management framework requirements to oversee the identification, assessment, monitoring and reporting of all forms of risk (financial, non-financial and transverse) across the organization. Monitor compliance with internal risk management policies, standards and directives. Ensure proper escalation, when necessary, by leveraging enterprise tools for monitoring and reporting of key risk metrics and key risk indicators (KRMs and KRIs).
Compliance and Regulatory Oversight:
Coordinate with legal, finance, and other departments to monitor compliance risks and ensure timely reporting of issues to leadership and stakeholders. Manage external and internal CM governance audits.
Executive Support:
Assist CM accountable executives in fulfilling their oversight responsibilities through the design of comprehensive governance and risk governance frameworks. Prepare presentations to higher level committees or boards when applicable ensuring clear and accurate communication and escalation of governance, risk, and compliance issues.
Performance Monitoring and Accountability:
Monitor the performance of key initiatives. Ensure that clear actions plans are developed to manage risks and issues.
Stakeholder Engagement:
Support communication efforts to ensure that stakeholders are informed of governance, risk, and compliance efforts. Support communication efforts to ensure that stakeholders are informed of regulatory and audit expectations. Support audit and regulatory requests.
Training and Awareness:
Develop and implement awareness programs for employees and leadership on governance and risk governance processes. Promote a culture of ethical conduct and compliance within the organization.
Change Management:
Assess the impact of new initiatives and regulatory changes on the frameworks and adjust the framework as needed.
Qualifications: Proven experience in governance, risk management, compliance, business management, operations, or a related field. Strong understanding of governance principles and industry standards. Excellent analytical, communication, and interpersonal skills. Ability to think strategically while managing operational details. High level of integrity, professionalism, and ethical standards. This position typically operates in an office environment, with occasional travel to support governance and oversight activities. This role is located in Chicago; the salary range is $100,000.00 - $125,000.00 USD. Pay Type: The above represents BMO Financial Group’s pay range and type. Salaries will vary based on factors such as location, skills, experience, education, and qualifications for the role, and may include a commission structure. Salaries for part-time roles will be pro-rated based on the number of hours regularly worked. BMO Financial Group’s total compensation package will vary based on the pay type of the position and may include performance-based incentives, discretionary bonuses, as well as other perks and rewards.
