DESCRIPTION:
The Paralegal will assist the General Counsel and Associate General Counsels in their primary functions. The Paralegal will embody our values of being accountable, energizing, inclusive, and courageous.
RESPONSIBILITIES:
Corporate - Entity Organization and Maintenance:
Prepare and file documents to form and qualify limited liability companies, limited partnerships, and corporations. Oversee necessary filings to ensure that all entities are kept in good standing. Oversee the filing of annual reports and information requests for domestic and international entities. Prepare minutes for corporate annual meetings and consents in connection with the election of officers and transactions. Obtain EINs. Draft limited liability company agreements, limited partnership agreements, and corporate bylaws. Issue stock certificates and maintain stock register. Dissolve or withdraw entities from various states. Maintain online corporate database and entity record books. Create entity organizational charts.
Corporate - Recordkeeping:
Maintain inventories of company stock certificates, letters of credit, and promissory notes and modify same as necessary. Assist with the renewal of company trademark registrations. Maintain roster of properties and titleholders for Risk Management Department. Assist with the preparation of audit response letters.
Transactional - Asset Acquisitions and Dispositions; Joint Venture Developments:
Provide support to in-house and outside counsel and assist in all aspects of acquisitions, dispositions, and joint venture developments, including, but not limited to, order and review of title and survey, and zoning reports, preparation of confidentiality agreements, preparation of authority documents, entity operating documents, property management agreements, and termination of same as necessary. Assist with entity purchases and restructurings through preparation of agreements and organizational charts. Assist Portfolio and Asset Management and Acquisitions Departments with due diligence requests. Coordinate electronic files and prepare closing binders or coordinate the preparation of closing binders with outside counsel.
Transactional - Finance:
Prepare due authority opinions and authority documents. Review title and survey and coordinate same with lender’s counsel. Assist with completion of lender due diligence requests including, but not limited to, ordering UCC and related searches, AML searches, and good standing certificates, etc.
Asset Management and Property Management Matters:
Support asset managers and site-level property managers with property and tenant-related matters, such as preparation and review of easements, property contracts, location agreements, commercial lease documents, and documents relating to residential leasing. Compile documents that are responsive to investor due diligence requests.
Litigation:
Provide support to in-house and outside counsel as well as in-house Risk Management Department with respect to all litigation matters, including document production, research, and preliminary drafting of responses to written discovery and answers to complaints, demands, and claims. Prepare litigation hold notices. Monitor class action lawsuits. Maintain and update litigation database.
REQUIREMENTS: Paralegal Certificate, Bachelor’s degree from a four-year college and/or training; Microsoft Office skills or equivalent combination of education and experience. Ability to read, write, proofread, edit and interpret legal documents. Basic knowledge of mathematics, including ability to add, subtract, multiply, and divide and to compute rate, ratio, and percentages. Ability to understand and carry out instructions furnished in written or oral form, and ability to multitask and prioritize workload. CERTIFICATES, LICENSES, and REGISTRATIONS: The applicant must be a Notary Public or willing to become one. Compensation: $94,000 / annually plus a 15% bonus potential.
