Job Description

The Contract Manager/Paralegal is responsible for drafting, reviewing, negotiating, and managing contracts, as well as providing general legal and administrative support to the legal team under the supervision of counsel. This role ensures that contractual obligations are met, legal risks are mitigated, and processes comply with applicable laws and organizational policies.

Key Responsibilities include but are not limited to:

Contract Management and Administrative Support
  • Draft, review, and negotiate a variety of contracts, including NDAs, Master Service Agreements, and other client agreements.
  • Coordinate contract approvals, signatures, and execution processes to ensure timely completion.
  • Maintain and manage the contract repository, ensuring accurate records and proper document retention.
  • Monitor contract compliance and key milestones such as renewals, expirations, and obligations.
  • Develop and refine contract templates and processes to enhance efficiency and reduce risks.


Legal Support
  • Conduct preliminary legal research and prepare summaries on relevant laws and regulations.
  • Provide administrative support to the legal team, including organizing files and handling correspondence.
  • Serve as a point of contact for internal and external stakeholders on contractual and legal matters.


Risk Management and Compliance
  • Identify and mitigate risks in contracts by recommending changes to terms and conditions.
  • Ensure compliance with applicable laws, regulations, and corporate policies in all contractual matters.
  • Support audits and due diligence processes by providing necessary documentation and reports.
  • Stay updated on legal trends and regulatory changes affecting the business.


Stakeholder Collaboration
  • Work closely with internal departments (e.g., procurement, finance, operations) to align contract terms with organizational goals.
  • Respond to inquiries and provide guidance on contract-related issues to various stakeholders.

  • Proficiency in MS Office Suite (Excel, Word, PowerPoint), Google Workspace, and database tools.

  • Ability to manage deadlines and prioritize tasks effectively.
  • Collaborative team player with a proactive approach.


Qualifications

Bachelor's degree or higher in Law, Business Administration, or related field (mandatory).

Paralegal certification or legal education preferred.

3+ years of experience in contract management or as a paralegal, preferably in-house or in the commercial department of a law firm.

  • Compensation $71,000 - $133,000. Individual salaries are based on education, geographic location, and alignment to the market data.
