Structured Finance & Securitization Attorney – Lateral Associate, Counsel & Partner (Private Fund Debt, Asset-Based & Real Estate Finance)

Structured Finance, Securitization, and Private Fund Finance Attorneys
for multiple roles at the
Associate, Counsel, and Partner levels. Locations: New York, NY | Washington, DC | Charlotte, NC Key Responsibilities
Fund Finance Attorney:
Represent
agents, lead arrangers, and lenders
in
fund finance facilities
for
private equity, real estate, and investment funds . Advise on
subscription credit facilities, NAV-based facilities, hybrid facilities, and capital call lines. Draft and negotiate
complex financing agreements
while ensuring regulatory compliance. Private Fund Debt Finance Attorney:
Work with
private equity sponsors and lenders
on
collateralized fund obligations, rated note feeders, and NAV facilities. Review
private equity fund documentation
and draft
debt financing agreements . Strong background in
structured finance and capital markets
preferred. Securitization / Structured Finance Attorney:
Experience in
securitization, structured finance, corporate transactions, and real estate finance . CLOs, CMBS, repo transactions, and asset-based lending
experience is a plus but not required. Represent
issuers, underwriters, and investors
in securitized transactions. Repurchase Facility / Asset-Based Finance Attorney (3+ Years):
Represent
banks & financial institutions
in
master repurchase agreements, whole loan trades, and secured lending transactions. Work on
warehouse lending transactions backed by commercial & residential real estate loans . Exposure to
CRE CLO, CLO, CMBS, MSR, and other structured repurchase transactions
preferred. Represent
commercial & investment banks, debt funds, and non-bank lenders
in
commercial mortgage, construction, and mezzanine loan transactions. Experience in
syndication, participation, and securitization
of real estate loans. Exposure to
developer and borrower representation
