Who we are looking for: BDC is looking for a skilled, detail-oriented In-House Counsel tasked with providing expert legal guidance and support to ensure our operations align with all applicable laws and regulations. This position demands a robust understanding of corporate law, regulatory compliance, contract negotiation, and risk management. Our ideal candidate is a proactive problem solver and strategic thinker with exceptional communication skills and a strong ethical foundation. In this dynamic role, you will work closely with various portfolio companies, human resources, and executive leadership, providing legal insights that drive informed business decisions and safeguard our organizational interests. We are looking for someone who thrives in a fast-paced environment and is adept at handling complex legal issues with a high degree of professionalism. Whether you are negotiating contracts, reviewing due diligence, advising on intellectual property matters, your contributions will be critical to our ongoing success and sustainability.

What you will be working on: ESSENTIAL DUTIES AND RESPONSIBILITIES: Work with the Black Dragon General Counsel to provide legal advice and guidance to the executive team and portfolio companies. Experience with commercial and technology contracts drafting, negotiation, and mitigating risks. Background in technology, licensing, SaaS, privacy, IP. Lifecycle of product development. Drafting, reviewing, and negotiating contracts and other legal documents. Managing litigation and coordinating with external legal counsel as needed. Overseeing corporate governance and ensuring adherence to corporate policies. Advising on mergers, acquisitions, and other corporate transactions. Managing intellectual property matters, including patents, trademarks, and copyrights. Handling employee relations and labor law issues. Developing and implementing legal strategies to protect the company's interests. Conducting legal research and staying updated on changes in laws that may affect the company. Providing support and management of compliance initiatives.

About You: We are looking for an individual with in-house legal experience in a technology operating company who has experience dealing with venture capital and/or private equity and their expectations. This position offers an exciting opportunity to work with some of the industries pioneers and being a part of a fast-growing portfolio companies. Juris Doctor (JD) degree from an accredited and top national law school. Admission to your state bar and in good standing. A minimum of 5 years of experience in a legal role within a corporate law setting or with a tech firm. Proven experience operating with SaaS/technology companies backed by PE firms. Strong background in corporate law, contract law, and compliance. Exceptional negotiation, communication, and interpersonal skills. Proven ability to work independently and as part of a team. Strong analytical and problem-solving skills. Demonstrated ability to manage multiple priorities and meet deadlines.
