This is an exciting opportunity to work on hedge fund launches, advising both institutional and emerging managers. The ideal candidate will have experience drafting essential fund documents, such as private placement memoranda, limited partnership agreements, investment management agreements, and subscription documents. Applicants should possess a solid understanding of the U.S. regulatory framework governing hedge funds, with more senior candidates expected to have negotiation experience. The position provides an opportunity for significant career advancement, mentorship, and exposure to sophisticated clients. Duties : Work on the formation and launch of hedge funds, advising clients ranging from institutional investors to emerging managers. Draft and review key hedge fund documents, including private placement memoranda, limited partnership agreements, investment management agreements, subscription documents, side letters, and separately managed account agreements. Provide guidance on regulatory compliance for hedge funds within the U.S. Assist in the negotiation of terms related to hedge fund structures, including investment management and operational agreements. Collaborate with senior associates and partners on fund formation matters and client relationships. Stay up-to-date on the latest developments in the hedge fund industry and relevant regulations. Requirements : At least two years of experience in hedge fund formation or a similar practice area. Familiarity with hedge fund structures, regulatory compliance, and fund documentation. Experience drafting and reviewing fund offering documents, including private placement memoranda, limited partnership agreements, and investment management agreements. Understanding of U.S. regulations governing hedge funds. Prior experience with seed deals, hybrid funds, closed-end funds, or investor-side representation is beneficial, but not required. Ability to work in a fast-paced, collaborative environment. Strong attention to detail and exceptional organizational skills. Education : Juris Doctor (J.D.) degree from an accredited law school. Certifications : Active membership in the Bar of the state. Skills : Strong knowledge of hedge fund formation, structuring, and regulatory compliance. Experience drafting fund offering and operational documents. Ability to advise on complex fund launch issues, including regulatory concerns. Excellent verbal and written communication skills. Strong negotiation skills for senior associates. Proactive and client-focused approach to legal work.
