Midlevel Corporate Associate
with a focus on
Emerging Companies (EC)
and
Venture Capital (VC) . The ideal candidate will bring a wealth of experience advising emerging companies and venture capital investors on a variety of corporate and transactional matters. This role presents an exciting opportunity for professional growth, offering exposure to high-level work across venture capital financing, corporate governance, and strategic transactions, including mergers and acquisitions. Location: Newport Beach, CA Duties: Advise emerging companies and venture capital investors on a range of corporate and transactional matters, from formation to exit Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related financing documents Provide legal guidance on corporate governance matters, including board and shareholder issues Support clients in mergers and acquisitions, joint ventures, and other strategic transactions Conduct due diligence and assist in transactional closings Act as outside corporate counsel to both early-stage and late-stage private companies Manage relationships with internal and external clients and counsel Requirements: Juris Doctor (JD)
from an accredited law school Admission to the
California Bar 4-6 years of experience in a reputable law firm or in-house legal department Strong background in corporate law, specifically in emerging companies and venture capital transactions Excellent drafting, negotiation, and communication skills Entrepreneurial mindset with the ability to collaborate and work independently Ability to thrive in a fast-paced, deadline-driven environment Strong academic credentials Education: Juris Doctor (JD)
