The Volunteer Board Secretary duties/responsibilities are as following:

  1. Is a member of the Board (see Board Member requirements below)
  2. Maintains secure Virtual Binder of Documents
  3. Keeps copies of the organization’s bylaws and the Board’s policy statements.
  4. Keeps lists of officers, Board Members, committees and General Membership.
  5. Notifies Board Members of meetings.
  6. Keeps record of Board attendance.
  7. Makes sure that there is a quorum at Board meetings.
  8. Keeps accurate Minutes of meetings.
  9. Distributes Board Minutes to Members within 14 days.
  10. Records all motions and decisions of meetings.
  11. Signs Board Minutes to attest to their accuracy.
  12. Records all corrections to Minutes.
  13. Keeps copies of Minutes of both Board and committee meetings.
  14. Conducts general Board correspondence.
  15. Keeps records of all Board correspondence.
  16. Orients the new Secretary as needed.
  17. Makes sure Members are notified of Annual General Meetings.
  18. In the absence of the Chairperson and Vice-Chairperson, chairs Board meetings until the election of an alternate Chairperson.

Experience: Minimum of one year experience in administration or related field, in a paid or volunteer setting. Strong organizational skills, time management, and ability to meet deadlines and produce notes and Minutes in a timely manner for distribution and action by the Board. Excellent notetaking, transcription, and computer literacy skills.

Knowledge: An understanding of the effective functioning of a charitable organization to serve Veterans, their Families; and animal welfare issues and needs.

Personal: Sensitivity to group dynamics and familiarity with structure and process of board and/or committee meetings. Decisive, innovative, professional, respectful, and flexible with the ability to compromise and a strong service-oriented personality.


Volunteer Board Member Job Description:

Volunteer Board Member for Nonprofit that serves Military Veterans through Equine-assisted Activities. Annual commitment to serve on the Board and fundraise or donate a minimum of $1,000 each year. Attend up to 4 meetings per year, remotely via telephone or video chat.

Each individual Board Member is expected to:

  1. Fundraise or donate a minimum of $1,000 each year (first dues are required by end of current Quarter)
  2. Know the mission, policies, programs, and needs
  3. Faithfully read and understand the financial statements
  4. Serve as active advocates and ambassadors and fully engage in identifying and securing the financial resources and partnerships necessary for Project Charlie Oscar Inc. to advance its mission
  5. Leverage connections, networks, and resources to develop collective action to fully achieve Project Charlie Oscar’s mission
  6. Help identify personal connections that can benefit fundraising and reputational standing, and can influence public policy
  7. Prepare for, attend, and conscientiously participate in board meetings
