$175,000.00/yr - $225,000.00/yr About Ames Watson Ames Watson, a Maryland-based Private Equity firm is seeking an Attorney to join the team in the greater Washington DC – Baltimore region. Overview We are looking for an Attorney to be our In-House Counsel that oversees all legal matters for Ames Watson and our portfolio of companies. You will provide consult on all matters such as M&A transactions, contracts, labor agreements, regulatory measures, and taxation. The In-House Counsel’s responsibilities include drafting and editing contracts, developing diverse corporate procedures, ensuring regulatory compliance, drafting codes of conduct, and engaging specialized legal counsel on various matters as needed. To be a successful In-House Counsel, you should be focused on protecting the reputation and assets of the company and be detail-oriented, knowledgeable, and persuasive, with excellent communication skills. Responsibilities Assisting businesses to prevent, navigate, and resolve complex legal issues. Manage multiple outside law firms including holding them accountable to budgets and performance. Oversee management of intellectual property. Responding to legal matters including sending cease and desist letters and managing discovery requests. Overseeing legal entity creation and upkeep across multiple jurisdictions and countries. Assisting and advising businesses on establishing their company's structure, policies, objectives, and procedures for their business operations. Ensuring all relevant laws and outcomes are understood and obeyed by businesses. Researching and resolving legal disputes through the analysis of relevant laws, argument development, evidence collection, and legal representation. Drafting, reviewing, completing, and filing legal paperwork related to business operations. Examining and reporting any potential or existing legal issues to the relevant authorities. Negotiating contract terms, transactions, and settlements on behalf of the businesses involved. Working closely with outside counsel on a variety of matters, including M&A transactions. Ensuring all business processes, strategies, and actions comply with all relevant local, state, federal, and international laws. Requirements A Juris Doctor in law, successful passing of the bar exam, and a valid state license. Bar admission in the state of Maryland. Excellent critical thinking, analytical, reasoning, and negotiation skills. Strong research and verbal and written communication skills. Good leadership, organizational, time management, and multitasking skills. The ability to work under pressure and time constraints to meet deadlines. Seniority level
