Syntax Talent Solutions is partnering with a dynamic mid-size law firm to hire a Corporate Attorney to join their team in Chicago, IL. The ideal candidate will have 5 or more years of strong tax background and transactional experience. Estate Planning and Mergers and Acquisitions experience is a must. Experience representing clients in transactional matters, including business acquisitions and sales, commercial and industrial real estate transactions, commercial, office, retail and industrial leasing, and real estate lending on behalf of lenders and borrowers. Experience in estate and gift-tax planning and estate and trust administration, business succession planning and general corporate and business transactions and contracts. Must have superior academic credentials. Your resume should reflect real academic accomplishment and leadership at your law school.

Key Responsibilities:

  1. Provide legal counsel on corporate governance, compliance, and regulatory matters
  2. Draft, review, and negotiate various corporate documents, including contracts, agreements, and policies
  3. Advise on mergers and acquisitions, joint ventures, and other business transactions
  4. Conduct due diligence and manage corporate filings and records
  5. Represent the company in legal proceedings and manage relationships with external counsel
  6. Ensure compliance with federal, state, and local laws and regulations
  7. Collaborate with internal departments to support business operations and mitigate legal risks

Qualifications:
  1. Juris Doctor (JD) degree from an accredited law school
  2. Admission to the Illinois State Bar
  3. Minimum of 5 years of experience in corporate law, preferably in a corporate or law firm setting
  4. Strong knowledge of corporate governance, mergers and acquisitions, and securities law
  5. Excellent analytical, negotiation, and communication skills
  6. Ability to manage multiple projects and work effectively in a fast-paced environment
