Job Overview:
A law firm is seeking a highly skilled Corporate Attorney with expertise in corporate formation, governance, private placements, mergers and acquisitions, and commercial contracts. This role will focus on advising businesses within the regulated cannabis, hemp, and psychedelics industries. The successful candidate will manage a wide range of corporate transactions while providing support for complex transactional work. The ideal attorney will be well-versed in the unique regulatory landscape of these industries and capable of offering strategic counsel to clients navigating evolving legal frameworks.
Location:
Duties:
- Provide legal counsel on corporate matters, including mergers and acquisitions, joint ventures, private placement financing, corporate governance, and structuring.
- Advise clients on industry-specific regulatory compliance, particularly within the cannabis, hemp, and psychedelics sectors.
- Analyze and interpret federal, state, and local regulations to ensure clients’ compliance with evolving industry standards.
- Draft, review, and negotiate a variety of contracts, agreements, and corporate documents.
- Stay updated on developments in cannabis, hemp, and psychedelics regulations, especially the intersection of state and federal laws.
- Assess legal risks and offer strategic solutions for clients in regulated industries.
- Serve as a subject matter expert on corporate law and regulatory compliance for both clients and internal stakeholders.
- Contribute to the firm’s Corporate Practice Group and support business development efforts.
Requirements:
- Juris Doctor (J.D.) degree from an accredited law school.
- Licensed to practice law in at least one U.S. state, with preference for jurisdictions relevant to the firm’s client base.
- 5-10 years of experience practicing corporate law, preferably in regulated industries.
- Strong experience in corporate transactions, mergers and acquisitions, and compliance with industry regulations.
- Ability to manage multiple clients and transactions from signing to closing.
- Excellent interpersonal skills and the ability to collaborate with clients and stakeholders.
- Highly organized with attention to detail and the ability to handle multiple projects in a fast-paced environment.
- Strong oral and written communication skills.
Education:
Juris Doctor (J.D.) degree from an ABA-accredited law school.
Certifications:
Licensed to practice law in a U.S. state (preferred jurisdictions may vary).
