Job DescriptionPosition Summary:The attorney in this position will be the key corporate counsel in the legal department and will have broad responsibilities including securities, M&A, finance and public company governance matters. Among other general corporate duties, the attorney will provide advice and representation concerning the preparation and/or legal review of SEC filings and disclosures, transaction documents, financing documents, and investor communications. The attorney also works closely with the Company's Sustainability team, especially with respect to disclosure. The attorney will report directly to the SVP, General Counsel.This is a hybrid role and attorney will be based out of the Company's headquarters in Batesville, Indiana. The expectation would be to come into the office 2 days/week.Work You’ll Do:Provides advice and counsel to management and other stakeholders regarding a variety of complex legal matters, with a focus on securities, corporate governance, transactional, finance and corporate secretarial mattersPrepares securities filings (including Forms 10-K, 10-Q and 8-K), as well as the proxy statement and annual shareholder meeting materialsAssists in developing, maintaining and executing policies and procedures to ensure sound corporate governance and compliance with NYSE and SEC regulations and other laws and regulations applicable to public companiesPlays central role in executing mergers, acquisitions, divestitures and other transactions, including legal due diligence and the negotiation and preparation of transaction agreementsManages general corporate matters, including those relating to securities law, domestic and global M&A, corporate governance, and corporate finance, as well as commercial contracts; assists with executive compensation and equity compensation plansWorks with other corporate functions to manage the Company’s global corporate organizational structureWorks closely with Company's Sustainability Department, particularly regarding Sustainability strategy and disclosure.Conducts research and provides legal advice on corporate and securities law issuesManages outside legal consultants as requiredOther duties may be assignedTeam:This role will be part of the global Legal & Compliance team, reporting directly to the Senior Vice President, General Counsel. Will work closely with team members and business partners, internal and external, around the globe. After an initial transition period, this role will have one direct report – the Company’s Corporate and Securities Paralegal.Basic Qualifications:Bachelor’s degree or equivalent from accredited college or university, J.D. from ABA accredited law school3-6 years related experience at a large law firm and/or another public company, with an emphasis in securities, corporate, and M&A requiredExcellent writing and communication skillsExpert in risk identification and assessmentAbility to quickly learn applicable law in a broad range of areasStrong negotiating skills and the ability to think creatively, strategically, and tacticallyStrong academic record or equivalent practice recordAbility to work independentlyPreferred Qualifications:Experience with an industrial company preferredWho we are:Hillenbrand (NYSE: HI) is a global industrial company that provides highly-engineered, mission-critical processing equipment and solutions to customers in over 100 countries around the world.
