UTIMCO is currently seeking an Investment/Corporate Attorney to provide support to the General Counsel, UTIMCO senior management and the UTIMCO investment team in all legal matters. Approximately 75% of the work will include supporting UTIMCO in its investments in private markets, hedge funds, public markets, and derivatives. The remaining work will focus on UTIMCO corporate legal, regulatory and compliance matters. The Attorney is expected to work closely with the General Counsel, Chief Compliance Officer, and Legal and Compliance team and will interface with most UTIMCO investment and operations staff. This position reports to the Senior Director.Broad Responsibilities Include
:Review legal documents and participate in the negotiation of investment terms for a variety of private markets (private equity, venture capital, real estate, infrastructure and energy and natural resources), public markets, and hedge fund investmentsReview legal documents and provide legal advice on matters related to derivatives products, industry requirements, and related regulationsProvide legal analysis and guidance regarding proper structuring of entities to hold investments, including use of onshore and offshore blocker corporations, unrelated business income tax issues, and foreign regulatory requirements and legal developmentsUnderstanding of the laws, rules, and regulations applicable to investment managers (e.g., Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, ERISA, etc.)Participate in the due diligence process for evaluating and underwriting prospective managersActively manage outside investment counselAdvise on UTIMCO corporate matters, including fiduciary and ethics matters, the Texas Open Meetings Act, the Texas Public Information Act, labor and employment matters, class action and foreign securities litigation, procurement and contracting, tax, preparation and interpretation of relevant policies and proceduresDevelop and update internal forms and modelsPerform legal research and assist with various other legal, regulatory and/or training projects as neededCommunicate effectively and responsibly with the General Counsel, the Chief Compliance Officer, members of the Legal & Compliance Department, UTIMCO senior management, and investment and operations team members and staffAdhere to UTIMCO cultural valuesRequirements
:J.D. degree from an accredited law schoolMember of a state bar association5+ years of experience with a top tier law firm representing investors and/or investment managers in private equity, venture capital and/or hedge fund investments, or equivalent experience with a peer institutionUnquestioned honesty, integrity, and transparencyCultural fit is a must in a respectful, collegial, and collaborative environmentAbility to analyze complex materials and work on multiple tasks concurrently, balancing competing priorities and meeting deadlinesAdvanced proficiency in Microsoft Suite application (Word, Excel, PowerPoint)Represent UTIMCO in the marketplace with the highest professionalismTeam player, detail-oriented, strong organizational skills, good communicator, intellectually curious
