Guiding us through intricate corporate landscapes, you'll specialize either in M&A or SEC compliance, reporting directly to the Chief Legal Officer. Your stewardship will propel our legal strategies, driving mergers, acquisitions, and compliance initiatives, underpinning our sustained growth.Major FunctionsLegal Advisory and Strategy (40%)Expertly advise on corporate finance, securities, mergers, acquisitions, or SEC compliance.Forge strategic decisions, ensuring compliant operations and robust risk management.Collaborate with senior leaders to advance key corporate undertakings.Leverage your expertise to advance our merger and acquisition endeavors, ensuring seamless deal progression and expedient closures.Transactional Excellence (35%)Precisely draft, review, and negotiate intricate commercial agreements, encompassing mergers, licenses, and vendor contracts.Manage the spectrum of public offerings, capital transactions, and regulatory compliance, maintaining federal securities law alignment.Lead liaisons with regulators and counterparts during transactions.Conduct comprehensive diligence and modeling for both asset and entity acquisition opportunities.Cross-functional Collaboration and Enhancement (15%)Seamlessly collaborate across multifaceted teams, safeguarding legal compliance across the organization.Innovate legal processes, refine templates, and contribute to vital policy evolution.Foster comprehensive legal understanding across the company.Stay attuned to industry trends, identifying investment openings aligning with our strategic vision.Strategic Counsel and Risk Management (10%)Provide strategic legal direction for business strategies, new products, and data privacy/security concerns.Proactively identify compliance risks, develop robust risk-mitigation strategies, and ensure timely execution.Navigate ahead of industry legal and regulatory shifts, ensuring ongoing compliance.Craft and deliver sophisticated investment presentations to Executive Leadership Team, Investment Committee, and the company's Board of Directors.Please note that the percentage allocation is a general estimate and may vary based on business needs and priorities.Education and ExperienceJuris Doctor (JD) degree from an accredited law school.Active membership in at least one state bar.6+ years of experience practicing corporate or transactional law, with a focus on either mergers and acquisitions or securities.The ideal candidate will possess 3-5 years of top-tier law firm experience, with an emphasis on mergers and acquisitions or securities law.Familiarity with public company reporting, capital market transactions, and corporate governance matters.Extensive experience in drafting, negotiation, and strategic legal counsel is required.A Plus, but Not RequiredA background in either M&A or SEC compliance.Experience within the cannabis industry or a solid understanding of cannabis regulations.Previous involvement in advising technology companies or startups.Familiarity with contract lifecycle management tools and IP management software.Strong analytical, negotiation, and communication skills.Ability to independently manage multiple tasks while maintaining a high standard of work.Enthusiasm for both technology and the cannabis industry.Working Conditions (Schedule, Environment, Travel)Schedule will vary depending on the needs of the business (Nights, Weekends, Holidays included).Limited travelBenefits:401(k) + Employer MatchMedical/Dental/Vision insurancePet InsuranceEAP ProgramsFlexible Paid Time OffPaid Parental LeaveEmployee Discount at all Schwazze Retail locationsSchwazze is committed to fairness and equality of opportunity in the workplace.
