Best Company.Corporate Governance & Securities Counsel Job SummaryThe Corporate Governance & Securities Counsel will provide James River leadership with legal advice and support regarding corporate governance and securities disclosures requirements.Duties and ResponsibilitiesContinuously exhibit and uphold Core Values of Integrity, Accountability, Communication and Teamwork, Innovation and Customer ServiceAssist in the preparation and review of SEC filings, including 10-Ks and 10-QsLead the preparation of 8-Ks and proxy statementsPlan the annual general meeting of shareholdersAdvise on compliance with SEC regulations and stock exchange rulesAssist with oversight of open trade windows and Section 16 filingsResearch and advise in the areas of public disclosures, corporate governance and policies, board and committee oversight responsibilities, and other public company obligations and best practicesMonitor and maintain Board and committee compliance with corporate governing documents, charters, and guidelinesAssist with the preparation of board and committee meeting agendas and materialsSupport Internal Audit with SOX compliance mattersAssist with administering and monitoring the company’s Insider Trading PolicyStay current on governance trends and best practices, SEC, and NASDAQ developmentsOversee work product of outside counselAssist with the company’s environmental, social and governance (ESG) efforts, and stay up to date on proxy advisor policies and voting guidelinesAssist with the development and review of various corporate policies, standards, frameworks, and related training materialsProvide legal support to business groups across the company, including finance, accounting, and investor relations as needed (including analyzing, drafting, and negotiating transaction documents, drafting intercompany agreements, and providing regulatory advice)Coordinate and supervise outside counsel as neededKnowledge, Skills and AbilitiesKnowledge of corporate and securities lawKnowledge of corporate governance standards and trendsAbility to self-direct, take initiative and work independentlyAbility to manage multiple tasks and projects effectivelyExcellent written and verbal communication skillsAbility to exercise sound judgement in making critical decisionsAbility to convey technical process information in a clear and concise mannerExcellent organizational skillsProficiency in MS Office (Word, Excel, Outlook)Proven ability to provide exceptional customer serviceResearch, analysis and problem-solving skillsAbility to build effective relationships with business partners and influence decisionsAbility to identify and make process and procedure improvement recommendationsStrategic thinker with creative problem-solving abilitiesAbility to perform effectively as part of a teamContinuous learning styleExperience and EducationBachelor’s Degree requiredJuris Doctorate Degree requiredMinimum of five years of law firm experience representing public companies in the areas of securities law and corporate governance required
