SUMMARYThe Corporate Counsel manages legal matters pertaining to the company as lead counsel and legal project manager for certain business segments and processes. Provides general corporate and commercial legal services to multiple in-house clients. Researches, analyzes, advises and counsels on legal issues involving the company’s commercial businesses. Coordinates certain legal matters handled by outside counsel. Demonstrates experience in advertising and promotions, marketing, supply, distribution and sales, software and technology development and licensing, general corporate matters, including corporate organization, drafting and negotiating transactional documents, intellectual property matters, risk management, and contract management. Requires a law degree.ESSENTIAL DUTIES AND RESPONSIBILITIESPerform general high volume commercial contracting for Covetrus’s business units, including North America distribution and Global Technology Services, including but not limited to drafting, reviewing and negotiating professional service agreements, marketing and product support agreements, supply chain agreements, technology agreements, wholesale customer agreements, purchasing agreements, consulting agreements, non-disclosure agreements, distribution agreements, SaaS agreements, IT agreements, technology licensing, facilities and operations, and intellectual property matters.Provide legal guidance, business advice and risk mitigation recommendations to internal clients on a wide range of legal matters affecting Covetrus’s commercial operations in the United States in conjunction with other Legal stakeholders, Compliance and Regulatory teams, as needed.Collaborate with the regional Compliance and Regulatory teams to triage, review and comment on a high volume of internal and external communications and materials related to medications and product feature and benefit claims in the animal health marketplace designed for U.S. audiences from a legal, compliance, IP, and regulatory perspective.Support business leaders, colleagues, and other stakeholders to recognize and manage risks, employ risk-mitigation strategies, negotiate strategic agreements, advise on regulatory and contractual compliance, and assist with operational matters.Present legal advice and data to enable accurate and timely decision-making concerning the business category and strategy.Serve as a liaison between the legal department and business stakeholders to develop, implement and streamline processes, protect the company’s assets and interests, and ensure successful and timely contract negotiations, executions, and implementations.Continuously develop skills and knowledge of marketplace through research, due diligence, training, bench-marking and other means.Continuously develop understanding of legal risks and advise business stakeholders accurately of legal and other risks associated with proposed activities.Perform other duties as needed or required.SUPERVISORY RESPONSIBILITIESThis position does not involve supervising direct reports, but will require consulting with peers (legal and business), building and leading project teams, and contributing to performance reviews.QUALIFICATIONS:Education and/or ExperienceJ.D. from an ABA-accredited law school.Minimum of 6 years of experience. This role requires 6 years of experience with a law firm or in-house legal team.International experience, previous in-house experience, and experience with intellectual property are preferred.Experience with regulated healthcare, medical affairs, drug industry, product feature and benefit claims, and animal health companies are preferred.Certificates, License & RegistrationsCurrent bar membership in at least one US state is required.Competencies (Skills & Abilities)Excellent interpersonal and communication skills (written and oral) and demonstrated experience building and managing interpersonal and cross-function relationships at all levels inside and outside of an organization.Goal and process oriented, with a demonstrated ability to prioritize tasks, and the experience and judgment to plan, accomplish objectives and resolve complex issues efficiently and effectively.Ability to thrive in a fast-paced, deadline driven environment with a proactive sense of urgency; trustworthy and comfortable taking on a high level of responsibility for anticipating and meeting deadlines.Ability to handle ambiguity, prioritize and manage multiple cross-functional projects to completion with little direction, and quickly transition between situations and tasks.Must manage confidential information and issues requiring high degree of professionalism, discretion and nuanced judgment.Ability to work under pressure while maintaining a sense of humor and perspective.Positive, motivated, can-do attitude, self-starter mindset and strong work ethic.Strong analytical, negotiation, drafting and negotiation skills.Excellent organizational skills and attention to detail.Team player with passion, energy and commitment.Proficiency with MS Office and to work with cloud-based databases and other IT applications as needed.PHYSICAL DEMANDS/WORK ENVIRONMENTPhysical demands of this position are limited to those of a professional office environment.Some domestic and international travel may be required from time to time.Some evening and weekend work may be required based on the needs of the business.Covetrus is an equal opportunity/affirmative action employer.
