SummaryThe Legal Counsel assists the General Counsel/Chief Operating Officer. The Legal Counsel ensures Company’s compliance with various laws, regulations, and contractual requirements. The Legal Counsel also assists the General Counsel/Chief Operating Officer in providing guidance and oversight of the Legal, Human Resources, Contract Administration, and Compliance at Company.ResponsibilitiesThe Legal Counsel will be responsible for ensuring that Company recognizes and addresses all legal implications and risks, especially with respect to compliance matters.The Legal Counsel will identify and perform required reporting requirements.The Legal Counsel will draft and negotiate contracts, including nondisclosure agreements, subcontract agreements, and Master Services Agreements.The Legal Counsel will assist the Human Resources department with employment law matters.Additional Duties IncludeCounsels on government compliance.Maintains properly compiled legal records.Performs other duties as assigned.Qualifications And RequirementsEssential Knowledge:Strong understanding of employment law and government compliance requirements.Strong background in contract preparation and negotiation techniques.Experience in a legal role at a company.Essential EducationJuris Doctorate Degree.Proven contracts, compliance, and employment law experience in a business environment.SHRM-CP, SHRM-SCP, or SPHR certification preferred.NCMA Certified Professional Contract Manager (CPCM), Certified Federal Contract Manager (CFCM), or Certified Commercial Contract Manager (CCCM) certification preferred.Essential SkillsHighly developed oral and written communication skills.Strong ability to create, compose, and edit written materials.Highly efficient time management skills and ability to prioritize tasks.Proven ability to investigate and research.Excellent leadership skills, including the ability to negotiate and mediate conflict.Desired CharacteristicsOrganizational “Fit” ConsiderationsMust be flexible and proactive in recognizing and responding to the needs of the organization. This may require extended hours of work during the week, on weekends, on holidays, and on-demand to prevent or mitigate adverse situations or respond to opportunities.
