Sr. Securities Counsel

We are seeking a Securities Counsel to take the lead role in managing Twist’s public company securities and corporate governance requirements. Reporting to the Assistant General Counsel of Corporate, Regulatory & Compliance, this role will be instrumental in advising Twist on U.S. corporate and securities matters and partnering with Twist’s finance, accounting, investor relations and communications teams on external disclosures such as earnings releases and press releases.What You’ll Be DoingPrepare and review SEC filings, including Form 8-Ks, the proxy statement and related documents, Section 16 filings, Registration Statements (S-1, S-8, and S-3), and Forms 10-Qs and 10-KsSupport Board and Committee meetings, including the drafting, preparation and review of Board meeting materials, minutes, and D&O questionnairesSupport Twist’s annual stockholders meetingSupport Investor Relations by reviewing press releases, earnings releases, investor presentations, and other materialsAdvise on equity matters, including equity plan, and compensation issuesEnsure compliance with public company legal, securities, and governance requirements, and support the necessary controls, processes and proceduresProvide counseling, training and general legal advice to the company on securities laws and requirements, including periodic reporting requirements, Nasdaq listing standards, beneficial ownership reporting requirements, Regulation FD, related party transactions, and insider trading rulesWork independently but collaboratively in a fast-paced and collegial team environmentDemonstrate sound business and legal judgment, project management and prioritization skillsSupport M&A and other strategic activitiesEffective manage outside counsel as neededWhat You’ll Bring to the Team4+ years of relevant experience at a major law firm, advising public companies on securities law mattersProficient knowledge of SEC and Nasdaq rulesRegistered to practice in California or be eligible for Registered In-House Counsel (RIHC) status in CaliforniaPreferred QualificationsExperience advising technology and/or life sciences companiesAbout Twist BioscienceTwist Bioscience synthesizes genes from scratch, known as “writing” DNA.
