A law firm in Dallas, TX, is seeking an experienced Energy Transition Transactional Associate Attorney to join their team. The ideal candidate will have significant transactional experience in energy transition projects, with a focus on hydrogen, carbon capture, renewable fuels, and lithium extraction. This role involves advising clients on complex transactional and project development matters in the energy sector.Duties and Responsibilities:Provide legal counsel and representation on energy transition projects, including hydrogen, carbon capture, utilization, and storage, renewable fuels (e.g., renewable natural gas, sustainable aviation fuel), lithium extraction, and other emerging energy transition areas.Negotiate and draft a wide range of transactional documents, including EPC contracts, BOP contracts, equipment supply agreements, procurement agreements, O&M agreements, and similar agreements.Handle mergers and acquisitions, land purchase agreements, offtake agreements (e.g., power purchase agreements), pore space leases, hydrogen purchase agreements, lithium extraction leases, joint venture agreements, partnership agreements, and LLC agreements.Conduct legal research, due diligence, and risk assessments related to energy transition projects.Assist clients transitioning from traditional upstream and midstream oil and gas projects to the energy transition sector.Requirements:Juris Doctor (JD) degree from an ABA-approved law school.Admission to the Bar of Texas or eligibility for admission through reciprocity.3-6 years of experience in transactional law, specifically within energy transition projects.Proven experience in negotiating and drafting complex transactional documents.Familiarity with regulatory frameworks and industry standards related to energy transition projects.Education and Certifications:JD from an ABA-approved law school.Admission to the State Bar of Texas or eligibility for admission through reciprocity.Skills:Strong drafting and project management skills, with attention to detail.Excellent legal research, writing, and analytical abilities.Ability to manage multiple projects and meet deadlines in a fast-paced environment.Effective communication and interpersonal skills for client interactions and collaboration within a team.Proficiency in Microsoft Office Suite and legal research databases.Benefits:
