VTF’s wholly owned for-profit subsidiary, Virginia Tech Corporate Research Center, Inc., is a research park that catalyzes commercialization and industry collaboration.Position Summary:Real Estate Counsel, reporting to the Foundation Counsel, is a legal professional specializing in providing legal support and guidance on real estate matters within the context of a foundation or nonprofit organization. They ensure that real estate transactions align with the organization's mission, comply with applicable laws and regulations, and optimize the organization's real estate holdings to further its charitable objectives.While the primary responsibilities of this position will be VTF real estate matters, this position will also provide general legal advice for all departments of VTF when called upon. Such matters may include corporate governance, human resources, insurance, general contracts and other subject matter areas similar to a general practice of law.Role & Responsibilities:Provide expert legal advice and guidance to real estate clients on a wide range of matters, including acquisitions, dispositions, leasing, financing, development, and property management.Contract Review and Drafting:Review, draft, and negotiate various commercial real estate-related agreements and contracts, such as purchase and sale agreements, lease agreements, financing documents, vendor and sourcing contracts, and construction contracts.Ensure that contracts accurately reflect the parties' intentions and protect the client's interests.Conduct thorough due diligence investigations to assess the legal and regulatory risks associated with real estate transactions. This may include reviewing title documents, property surveys, environmental reports, zoning regulations, and other relevant documents.Regulatory Compliance:Stay abreast of federal, state, and local laws and regulations governing real estate transactions, land use, zoning, and environmental issues.Advise clients on compliance requirements and assist in obtaining necessary permits and approvals.Identify and assess legal risks associated with real estate transactions and develop strategies to mitigate such risks.Provide proactive legal solutions to address potential issues and protect the client's interests.Represent clients in real estate disputes, including contract disputes, landlord-tenant disputes, construction disputes, and property-related litigation. Negotiate settlements, draft settlement agreements, and represent clients in mediation, arbitration, or litigation proceedings.Transaction Support:Provide legal support and guidance throughout the entire lifecycle of real estate transactions, from initial due diligence and negotiation to closing and post-closing matters.Collaborate with other professionals, including real estate brokers, lenders, title companies, and environmental consultants, to facilitate smooth and efficient transactions.Legal Research and Analysis:Conduct legal research and analysis on complex real estate issues, precedents, and regulatory developments.Provide clear and concise legal opinions and memoranda to clients and internal stakeholders.Qualifications:Juris Doctor (J.D.) degree from an accredited law school.Must be a licensed attorney in a US jurisdiction.Specialization or experience in real estate law preferred.Strong knowledge of real estate transactions, contracts, and property law.Excellent analytical, negotiation, and communication skills.Ability to work independently and collaboratively in a fast-paced environment.Attention to detail and the ability to manage multiple projects simultaneously.Experience working with real estate developers, investors, or property management companies.The Virginia Tech Foundation is an equal-opportunity employer.
