Position Title: General Counsel

Position Overview

We are seeking an experienced and highly skilled General Counsel to join our executive team. The ideal candidate will provide expert legal advice and support across all aspects of our operations, including contract management, employee relations, labor relations, and insurance matters. This role requires a strategic thinker with strong problem-solving abilities and excellent interpersonal skills.

Commercial

Key Responsibilities

Draft, review, and negotiate a wide range of contracts, including customer agreements, subcontractor contracts and other business-related documents.Ensure compliance with all legal requirements and company policies.Work with the commercial leadership and sales operations to create and implement an efficient legal review workflowOversee sales proposal terms and conditions and create templates for efficient legal reviewWork with customers' legal counsel to resolve contract terms and conditions.Help educate the sales staff on legal topics to minimize legal intervention.

Employment

Advise on employment law matters, including hiring, termination, disciplinary actions, and employee relations.Support development of policies and procedures to ensure compliance with employment laws and regulations.Advise on handling employee grievances as needed.Maintain awareness of new state laws to maintain compliance with state employment and business laws that impact our business.

Labor Relations

Provide guidance on labor relations and collective bargaining agreements.Represent the company in labor negotiations and disputes.Ensure compliance with labor laws and regulations.Participate in union negotiations; develop and maintain responses and drafts to IBEW during negotiations.

Insurance

Oversee the company's insurance programs, including liability, property, and workers' compensation.Manage insurance vendors, costs and renewalsReview and improve the COI and lien waiver processManage claims and work with insurance providers to resolve issues.Advise on risk management and insurance coverage.

Subcontractor And Vendor Agreements

Develop and oversee subcontractor and vendor agreements.Work with subcontractors' and/or vendors' legal counsel to resolve contract termsand conditions.

Business Improvement And Legal Advice

Draft legal documents required by the company management team.Guide the team through difficult customer, vendor or subcontractor situationGuide the executive team through litigation matters when required.Review company processes with the executive team to ensure liabilities are minimized.Provide recommendations for effective record-keeping practices by the management team.Manage contract disputes and provide solutions to mitigate risks.

Company And Ownership

Provide legal counsel to senior management on various business issues.Stay current with changes in laws and regulations that may impact the company.Educate and train the management team and employees regarding employment and/or business laws that impact our business.Maintain effective relationships with company corporate attorney firm(s), primarily Lewis Rice.Oversee company patents and trademark registrations (Tech has several trademarks that we currently maintain).Work with the management team to identify and then reduce potential risks within the company.Work with the Executive Chairman to participate in family office discussions as needed; reduce liability and risk items for the family business/office.

Qualifications

Juris Doctor (JD) degree from an accredited law school.Licensed to practice law in Missouri.Minimum of 8 years of experience in corporate law, with a focus on contracts, employment law, labor relations, and insurance.Experience in the construction or building systems integration industry is highly preferred.Strong negotiation, analytical, and problem-solving skills.Excellent written and verbal communication skills.Ability to work collaboratively with internal and external stakeholders
