A law firm in Santa Monica, CA, seeks a talented Mid-Level Corporate Associate Attorney with over 3+ years of experience advising public companies or investment banks. The ideal candidate will have a strong background in SEC compliance, disclosure, governance, and exchange matters and expertise in capital market transactions. A preference will be given to those with a background or interest in technology and life sciences companies.Key Responsibilities:
Advise public companies on SEC compliance, disclosure, governance, and exchange matters.Represent issuers or investment banks in capital market transactions, including:
Initial Public Offerings (IPOs)Special Purpose Acquisition Companies (SPACs)Direct listingsFollow-on offerings
Collaborate with clients to provide strategic legal counsel on various corporate matters.Draft, review, and negotiate legal documents related to capital markets and corporate governance.Conduct due diligence and prepare offering documents and related disclosures.Stay updated on relevant industry regulations and trends, particularly in technology and life sciences sectors.Work closely with senior attorneys and partners to ensure client needs are met with the highest standard of legal service.Requirements:
Minimum of 3+ years of experience advising public companies or investment banks.Proven experience with SEC compliance, disclosure, governance, and exchange matters.Demonstrated expertise in capital market transactions (IPOs, SPACs, direct listings, follow-on offerings).Strong interest or background in technology and life sciences companies preferred.Superior academic credentials.Excellent oral, written, and interpersonal skills.Must be barred in the state of California.Education:
Juris Doctor (JD) degree from an accredited law school.Certifications:
Active membership in the California State Bar.Skills:
In-depth knowledge of securities law and corporate governance.Exceptional analytical and problem-solving abilities.Strong negotiation and drafting skills.Ability to manage multiple projects and meet deadlines.High attention to detail and accuracy.Proficiency in legal research tools and technology.Effective communication and interpersonal skills to interact with clients and team members.
