The General Counsel's Office advises on legal matters; provides transactional, regulatory and litigation support, and consults with Institute leadership to identify and explore opportunities and strategies to monetize the Institute's Intellectual Property portfolio.Objectives of this Role:

The objective of this role is to provide transactional support to the General Counsel’s Office by working with various stakeholders such as the Purchasing Dept. (Services, Subcontracts, and General Purchasing) and Contracts Dept.Daily and Monthly Responsibilities:

Collaborate with SwRI attorneys by conducting the initial review and interpretation of complex government and commercial contract terms and conditions.Craft alternative contract language as appropriate to align with SwRI policies and practices. Maintain SwRI’s various state registrations and ensure compliance with unique state requirements.Engage with Purchasing Dept. and technical personnel to ensure contract terms are appropriate for the associated scope of work and deliverable requirements.Conduct prompt and thorough reviews of contractual documents to identify key issues, potential risks, and effectively communicate such to the SwRI General Counsel's Office and various internal support departments.Effectively address atypical or complex situations in accordance with SwRI's policies and practices.Perform other tasks as assigned.Requirements:

Requires a Bachelor's Degree in Business Administration, Criminal Justice, Political Science. Other degree fields will be considered with relevant experience.3-10 years of professional business office & customer service experience, in a capacity requiring careful review of complex documents. Experience working on multiple requests and project activities at varying stages, often with short notice and compressed deadlines.3-10 years of contract administration experience using independent judgment based on a body of knowledge of legal contract redlining and negotiation.Strong written and verbal communication skills as well as organizational skills to independently multi-task in a fast-paced environment. Strong interpersonal skills and a highly collaborative and responsive team player with the ability to think strategically.Proficiency in Microsoft Office, Adobe, and virtual meeting platforms. Familiarity with government contracts and associated regulations (FAR and DFARS) and commercial contractual requirements.Experience with a law firm or in-house contract administration experience is a plus.A valid/clear driver's license is required.Special Requirements:
