Your impact
Work closely with the GC, executive leadership, and cross-functional teams to shape and improve At-Bay’s legal processes to enable both legal and business functions to scale effectively.
Review, draft, and help negotiate a variety of commercial agreements including NDAs, MSAs, SOWs, leases, and other software and vendor agreements.
Collaborate with other internal and external legal resources to guide At-Bay through complex regulatory issues.
Respond to internal requests from our sales, business operations, finance, product, and engineering departments in a clear and concise manner.
Help develop and apply effective risk-management techniques and offer proactive advice on possible legal issues across all business functions.
Anticipate, investigate, and evaluate different legal challenges that do or could impact At-Bay
Provide practical, actionable advice and strategic support to executives and employees on a variety of corporate and securities matters
Assist with the company’s strategic investments in other entities and M&A transactions, and support the integration of acquired entities
Play a lead role in governance and administration of corporate subsidiaries
Help to maintain minute books and draft corporate documents
Stay up to date on governance trends, general legal issues, best practices, and recommend changes to the company’s programs or policies if advisable
In this role we value
JD from an accredited law school and active license to practice.
Minimum of 4-6 years of corporate transactional experience, preferably at a large law firm and/or corporate legal department, representing publicly traded companies is a bonus.
Strong written and oral communications skills.
Team player with ability to work well across various functions strong analytical skills, attention to detail and thoroughness in approach.
Experience managing SEC compliance
Experience with pre-and post-IPO companies is a plus.
Experience with HR and other corporate matters is a plus.
Excellent project management skills, with proven track record of learning quickly, taking initiative, working proactively, being resourceful with minimal external assistance and taking on additional responsibility.
Experience handling other corporate transactional matters with experience in, or intellectual curiosity for, other generalist matters facing the company
Ability to act independently and with flexibility.
