General Counsel

Duties and ResponsibilitiesReview, draft, update, and maintain uniform franchise offering circular.Handle multi-state franchise registrations.Negotiate and document franchise agreements.Coordinate with external counsel as necessary and represent the organization in legal proceedings.Manage litigation and other legal disputes involving the organization.Maintain enforcement of franchise and related commercial agreements.Maintain relationships with the franchisee community.Provide legal support for mergers, acquisitions, and other corporate transactions.Conduct due diligence and advise on the legal implications of transactions.Monitor and maintain regulatory developments and ensure compliance with applicable laws and regulations governing the hospitality industry.Maintain regulatory compliance with the Federal Trade Commission and State Franchise guidelines/practices, including foreign countries.Counsel franchise business executives on legal and business matters related to franchise operations for Red Roof.Draft/review general corporate legal contracts and agreements.Assist with corporate governance and general corporate matters.Oversee Corporate Compliance and Safety and Security Department.Supervise and oversee Red Roof Legal Department.Provide counsel to all Red Roof Departments on legal and business matters related to the corporate operations for Red Roof.Oversee Risk and Claims departments.Perform other duties as assigned.QualificationsJuris Doctorate from an accredited law school.Minimum of 7 years of general corporate legal experience.Strong oral and written communications skills.Must be able to work independently and interact with all levels of management.
