A law firm in Denver, CO, is seeking a highly skilled Projects (M&A) Counsel with a strong emphasis on domestic and international business transactions, particularly within the energy sector. This role provides the opportunity to work on high-profile projects involving renewable energy, energy storage, and power generation technologies. The ideal candidate will manage a broad range of M&A transactions, including acquisitions, joint ventures, and divestitures, while advising clients and handling complex legal matters.Duties:Advise clients on a wide array of energy transactions, including mergers and acquisitions, joint ventures, and project development.Draft, review, and negotiate complex transaction documents such as purchase agreements, joint venture agreements, joint development agreements, and development services agreements.Conduct thorough due diligence for M&A deals involving projects, including reviewing project development documents and conducting comprehensive legal research.Collaborate with internal and external stakeholders, including clients and colleagues in specialized areas like tax, regulatory, and real estate.Stay informed on industry trends and updates in project development, M&A, and finance law.Offer legal assistance on various matters related to project development and M&A as needed.Manage and oversee legal aspects of high-profile projects related to renewable energy, energy storage, and power generation technologies.Provide representation and legal advice to clients in the renewable energy sector, including project development (offtake, procurement, and construction) and project finance transactions.Requirements:4+ years of experience in handling M&A transactions, particularly in the energy sector.Proven expertise in drafting and negotiating complex transaction documents and conducting due diligence.Experience with renewable energy projects, energy storage, and power generation technologies is highly desirable.Strong background in mergers and acquisitions or project finance, ideally within a sophisticated national law firm environment.Ability to effectively collaborate with internal teams and external stakeholders.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to practice law in Colorado or the ability to obtain admission.Skills:In-depth knowledge of domestic and international business transactions and corporate matters, particularly in the energy sector.Proficiency in drafting and negotiating high-complexity transaction documents.Strong due diligence and legal research capabilities.Excellent communication and interpersonal skills for effective collaboration with clients and stakeholders.Ability to stay updated on industry trends and legal developments.Strong organizational skills with the ability to manage multiple projects and deadlines efficiently.Benefits Offered:Competitive salary and comprehensive benefits package.Opportunities for professional growth and career advancement.A collaborative and inclusive work environment.Exposure to a diverse range of high-profile clients and projects.Engagement in innovative, complex, and challenging projects globally, with a track record of closing 470 project finance transactions totaling over US$278 billion in the past five years (IJGlobal Q1, 2024).
