Corporate Transaction Attorney

A law firm based in Northbrook, IL, is seeking a highly skilled and experienced Corporate Transaction Attorney. The ideal candidate will have at least 3 years of focused experience in business, corporate, and transactional law. This role involves drafting complex operating and partnership agreements, negotiating and drafting contracts, preparing entity formation documents, handling capital raises, and managing mergers and acquisitions. The successful candidate will possess excellent drafting skills and the ability to think independently while contributing to a dynamic legal team.Duties and Responsibilities:Draft and review complex operating agreements, partnership agreements, and other business contracts.Negotiate and draft various types of contracts and agreements to ensure legal and business requirements are met.Prepare and file entity formation documents, including articles of incorporation and organizational bylaws.Manage and support capital raise activities, including private placements and venture capital transactions.Handle mergers and acquisitions, including due diligence, drafting transaction documents, and overseeing closing procedures.Provide strategic legal advice on corporate governance, compliance, and risk management.Conduct legal research and analysis to support corporate transactions and business decisions.Collaborate with clients and internal teams to address legal issues and provide solutions.Maintain up-to-date knowledge of relevant laws, regulations, and industry trends.Requirements:Minimum of 3 years of focused experience in business, corporate, and transactional law.Proven experience in drafting and negotiating complex agreements and contracts.Strong background in entity formation, capital raises, and mergers and acquisitions.Excellent drafting skills with the ability to produce clear and concise legal documents.Independent thinker with strong problem-solving abilities.Demonstrated ability to manage multiple tasks and deadlines effectively.Exceptional communication and interpersonal skills.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Licensed to practice law in the state of Illinois.Skills:Advanced legal research and analytical skills.Proficient in drafting complex business agreements and contracts.Strong negotiation skills and attention to detail.Ability to work independently and collaboratively in a team environment.Excellent organizational and time-management abilities.
