A law firm in Princeton, NJ is seeking a Corporate Securities Associate Attorney to focus on securities matters. The ideal candidate will possess significant experience in ’34 Act compliance, ’33 Act securities work, and capital markets transactions. This role involves managing public and private offerings of equity, debt, and other securities, as well as handling corporate governance issues, exchange listing requirements, and securities regulations. The successful candidate will be self-motivated, confident, a personable team player, and have outstanding professional and academic credentials.Duties:Lead and manage compliance with ’34 Act and ’33 Act securities regulations, including preparing and filing required disclosures.Oversee capital markets transactions, including public and private offerings of equity, debt, and other securities.Provide legal counsel on corporate governance matters and ensure adherence to exchange listing requirements.Advise clients on securities regulations, including Rule 144, Section 13, and Section 16, and offer strategic guidance on compliance issues.Counsel on executive compensation and related legal matters.Draft, review, and negotiate securities-related documents such as registration statements, prospectuses, and other filings.Collaborate with clients, internal teams, and stakeholders to develop and implement effective legal strategies.Stay informed about changes in securities laws and regulations to provide accurate and timely legal advice.Requirements:At least 3 years of experience in corporate securities law, focusing on securities compliance and capital markets transactions.Demonstrated expertise in handling public and private offerings of equity, debt, and other securities.In-depth knowledge of corporate governance, exchange listing requirements, and securities regulations (Rule 144, Section 13, Section 16).Familiarity with executive compensation issues and related legal concerns.Self-motivated, confident, and personable with excellent teamwork skills.Outstanding professional and academic credentials.Admission to practice law in the state of New Jersey.Education:Juris Doctor (JD) from an accredited law school.Certifications:Admission to practice law in the state of New Jersey.Skills:Thorough understanding of securities laws and regulations.Proven experience managing complex capital markets transactions and compliance issues.Excellent drafting, negotiation, and communication skills.Strong analytical and problem-solving abilities.Ability to work independently and as part of a team.Detail-oriented with effective organizational skills.Capacity to stay updated with evolving securities regulations and market trends.
