Together, we can make a meaningful impact.About the RoleAESC Global Legal Team is seeking a highly skilled Corporate Counsel to join our dynamic team. This individual will play a pivotal role in managing and executing strategic transactions for our group companies, including debt and/or equity financings, strategic M&A transactions, and joint ventures/technology partnerships. The ideal candidate will have a strong background in corporate law, with a focus on transactional work and strategic advisory, as well as a business mind and maturity. Reporting to Senior Corporate Counsel, Head of Global Strategic Transactions.What You Will DoTransactional Management:

Lead and support a wide array of strategic transactions, including mergers and acquisitions, joint ventures, tech partnership and strategic alliances, and debt and equity financing activities.Legal Advisory:

Provide strategic legal advice to senior management and business units on legal implications, potential risks associated with business decisions, and other transaction-related matters.Due Diligence:

Conduct and coordinate comprehensive due diligence processes, identifying and mitigating potential legal risks.Contract Negotiation:

Draft, review, and negotiate complex transaction documents, including term sheets, purchase agreements, and partnership agreements.Risk Management:

Identify, assess, and mitigate legal risks associated with strategic transactions.Collaboration:

Work closely with internal stakeholders, including business strategy, finance, tax, and corporate development teams, to ensure seamless execution of transactions.External Coordination:

Liaise with external counsel and advisors as necessary to support transaction execution.What You NeedEducation:

Juris Doctor (JD) degree or equivalent from an accredited law school.Bar Admission:

Admission to at least one state bar, preferably in the California State Bar.Experience:

Minimum of 4 years of relevant experience in a law firm or in-house legal department, with a focus on corporate transactions, such as corporate finance and M&A.Expertise:

Strong knowledge of corporate law, securities regulations, and M&A processes.Skills:

Excellent drafting, negotiation and analytical skills.Strong communication and interpersonal skills.Ability to manage multiple projects and deadlines in a fast-paced environment.Demonstrated ability to work independently and as part of a team.Business-minded approach with the ability to understand and contribute to the company's strategic goals.High level of integrity and professional ethics.Mature and composed demeanor, with the ability to handle complex and sensitive matters.Native Mandarin speaker.

"Nice to Have"Industry Experience:

Previous experience in the electric vehicle, battery manufacturing, energy or technology sectors.Advanced Degrees:

While not a prerequisite, LLM or MBA in relevant field or with relevant experience may be considered favorably.Project Management Skills:

Experience with project management tools and methodologies.Cultural Awareness:

Experience working in a multicultural and international environment.Start-up Experience:
