Purpose of Position

The Associate Counsel will be responsible for handling a variety of business/corporate law issues including analyzing risk, advising the organization on legal matters and handling complex commercial transactions and other corporate matters.Tasks and Responsibilities

Assist with/manage a wide variety of complex business law issues, including advising business partners on contract rights and other matters.Assist with all legal aspects, including due diligence, associated with mergers and acquisitions.Manage various contract negotiations with manufacturers and vendors; includes managing outside counsel on such matters when appropriate.Review and prepare NDAs.Provide legal advice, counsel and service to internal business clients concerning a variety of legal matters, including rights, risks, and obligations.Research and analyze laws, regulations and related cases.Assist in review, drafting and negotiation of all types of contracts, letters of agreement and other related documents.Work closely with cross-functional teams, including senior management.Conduct risk assessments on various business and contract issues.Handle other legal issues as needed.Education

Experience in all aspects of business law. Law firm or in-house experience at a large corporation.Excellent oral and written communication skills.Experience drafting and administering letters of agreement, contracts, and corporate documents.Experience with contract negotiations.Excellent understanding of business issues and their connection to changing legal landscapes.Excellent risk assessment skills and the ability to explain such risks clearly.Effectively partner with and counsel business partners; must work well with outside counsel.Ability to work in a strong team environment.Ability to work in a fast-paced environment with multiple deadlines and priorities.Ability to prioritize work effectively and strong time management skills.This position is located in Columbus Ohio.
