This position is designed for a legal professional with considerable firm experience, exceptional academic credentials from a top-tier law school, and an entrepreneurial attitude.Duties and Responsibilities:Handle complex legal matters related to mergers and acquisitions, including due diligence, contract negotiation, and transaction execution.Manage capital markets transactions, providing legal guidance on securities offerings, regulatory compliance, and related activities.Advise clients on governance matters, including corporate governance policies, compliance issues, and shareholder relations.Conduct thorough legal research and analysis to support case strategies and ensure compliance with applicable laws and regulations.Draft, review, and negotiate various legal documents, including contracts, agreements, and corporate policies.Represent clients in meetings, negotiations, and proceedings, providing expert legal counsel and advocacy.Collaborate with senior attorneys and clients to develop and implement strategic legal solutions.Maintain up-to-date knowledge of industry trends, legal developments, and regulatory changes.Requirements:Juris Doctor (JD) degree from a top-tier law school.Admission to the Texas Bar or eligibility for admission.4-6 years of experience in a large law firm, focusing on mergers and acquisitions, capital markets transactions, and governance matters.Demonstrated ability to handle complex legal issues and transactions with minimal supervision.Proven track record of success in managing high-profile cases and client relationships.Education:JD degree from an accredited law school.Certifications:Licensed to practice law in Texas or eligible for admission.Skills:Strong analytical and problem-solving skills.Excellent written and verbal communication abilities.Exceptional attention to detail and organizational skills.Ability to work independently and as part of a team.Proven entrepreneurial mindset and proactive approach to legal challenges.Proficiency in legal research tools and case management software.
