Aug 18, 2024Profile:A law firm is seeking a knowledgeable and experienced Energy Transactions and Projects Associate Attorney to join their team in Los Angeles. The ideal candidate will have 3-5 years of significant transactional experience in debt project finance and/or tax equity. This role requires expertise in negotiating and preparing credit agreements, intercreditor arrangements, and a range of project-related documents. The candidate should have a strong background in conducting due diligence and reviewing key project agreements.Key Responsibilities:Negotiate, prepare, and review credit agreements, intercreditor arrangements, collateral documents, and other ancillary credit documents.Manage tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC Agreements, leases, and related ancillary documents.Conduct thorough due diligence on key project agreements such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services contracts, transportation agreements, and commodity purchase and sale agreements.Provide legal counsel on project finance transactions, including structuring and documentation.Draft and negotiate complex transaction documents related to energy projects.Collaborate with clients and colleagues to develop and implement transaction strategies.Ensure compliance with legal and regulatory requirements in energy transactions.Review and analyze project documents to identify and mitigate risks.Advise clients on legal and commercial aspects of energy projects and transactions.Stay informed about industry trends, regulatory changes, and emerging issues in energy law.Requirements:3-5 years of significant transactional experience in debt project finance and/or tax equity.Extensive experience in negotiating and preparing credit agreements, intercreditor arrangements, and ancillary credit documents.Proven ability to review and conduct due diligence on key project agreements.Strong background in tax equity transactions, including preparation and negotiation of equity capital contribution agreements and related documents.Excellent analytical, organizational, and communication skills.Ability to manage complex transactions and provide strategic legal advice.Demonstrated expertise in energy transactions and projects.Education and Certifications:Juris Doctor (JD) degree from an accredited law school.Admission to practice law in the state of California.Skills:Advanced proficiency in drafting and negotiating complex transaction documents.Strong understanding of project finance and tax equity transactions.Excellent legal research and analytical skills.High level of attention to detail and accuracy.Ability to work independently and as part of a team.Strong verbal and written communication skills.Ability to manage multiple priorities and meet deadlines.
