Mid-Level MampA Associate Attorney

A law firm is currently seeking a Mid-Level M&A Associate Attorney for its Minneapolis location. The ideal candidate should have 3+ years of experience with substantial major law firm experience in handling sophisticated M&A transactions, both private and public. Experience with capital markets transactions, corporate governance/fiduciary duty counseling, and/or disclosure and other securities law compliance matters will be considered a plus. The Mid-Level M&A Associate Attorney will be a key contributor to the firm's M&A practice, leveraging substantial major law firm experience to handle sophisticated M&A transactions.Duties:Work on sophisticated M&A transactions, both private and public.Provide legal counsel on capital markets transactions.Offer expertise in corporate governance and fiduciary duty counseling.Assist in disclosure and other securities law compliance matters.Collaborate with clients to understand their M&A goals and strategies.Draft and negotiate transactional documents with precision.Ensure compliance with relevant laws and regulations.Requirements:Juris Doctor degree from a reputable law school.Active Bar membership in the state of Minnesota.3+ years of experience in M&A law.Substantial major law firm experience.Experience in capital markets transactions (a plus).Expertise in corporate governance/fiduciary duty counseling (a plus).Familiarity with disclosure and securities law compliance matters (a plus).Skills:3+ years of experience in M&A law.Substantial major law firm experience.Strong drafting and negotiating skills.Ability to work independently and collaboratively.Familiarity with capital markets transactions (a plus).Expertise in corporate governance and fiduciary duty counseling (a plus).Detail-oriented with a focus on accuracy.Strong communication and interpersonal skills.
