The Assistant General Counsel – Real Estate and Corporate Transactions (AGC) will report to the Company’s new Vice President, Deputy General Counsel, Global Corporate Affairs. There is a strong preference that this key role sit at the Company’s headquarters in Charlotte, NC.THE ROLE:

This newly created position will play an integral role in Albemarle’s exciting strategic transactional and capital deployment plans. The AGC will provide day to day counsel to the real estate and capital projects teams on executing land acquisitions and supporting permitting efforts for capital projects. The AGC will also support the corporate development team in collaboration with the DGC in executing acquisitions, joint ventures, minority investments and other corporate transactions.Serve as primary legal advisor for the real estate and capital projects permitting teams in navigating complex land acquisition and land use issues both in the US and globally (in coordination with regional and outside counsel).Provide legal diligence and process support for the full range of transactional activities, including acquisitions, divestitures, joint ventures, partnerships, minority investments, venture investments and debt financings.Provide advice on deal terms and structuring on both strategic transactions and real estate acquisitions and dispositions.Ensure development of continuous improvement of and compliance with internal transactional policies and procedures.Drive coordination and collaboration across the legal function in support of corporate transactions.Enable consistency in documentation and approach to risk in corporate transactions.Implement processes to streamline review of NDAs and other ancillary transaction documents.Select and manage outside counsel and other vendors, including evaluating the quality and cost of services. Develop internal processes with respect to use of outside counsel for real estate and permitting matters and generate playbooks to enable efficiencies for repeat transaction structures and project scopes.Lead and collaborate with cross-functional partners on complex projects to sustain and enhance transactional execution and risk management across multiple jurisdictions.Keep the Company’s senior management abreast of significant real estate and permitting decisions, legislation and regulatory rulings that may affect the Company’s business or policy.Develop a thorough understanding of and familiarity with the Company's business, its people, markets, facilities, customers, and competitors to identify trends and formulate appropriate structures and strategies.Establish a rapport and working relationship with employees at all levels to encourage and continue the proactive use of in-house legal counsel.Perform special assignments or projects as assigned by the Deputy General Counsel and General Counsel.EDUCATION AND EXPERIENCE:

Candidates should have an undergraduate and law degree with academic achievement from nationally recognized institutions. The successful candidate will have 8+ years of experience in the practice areas relevant to these job responsibilities. Ideal candidate will have both private practice and in-house counsel experience. Must have verifiable knowledge of real estate transactions, permitting processes and corporate transactions (including acquisitions, joint ventures and minority investments). Strong preference for experience providing counsel on environmental legal issues.CANDIDATES SHOULD HAVE:

Unquestioned integrity and ethics in business and personal conduct.Proven ability to effectively influence, collaborate, and build partnerships and trusted advisor relationships with business partners and legal team members at all levels.Proven ability to work autonomously, coordinate and project manage with multiple stakeholders and drive towards deadlines with minimal oversight.The competence to think like a business executive and facilitate management objectives, yet the drive and talent to provide objective and independent assessments and advice and serve as a “hands-on” lawyer.A proactive, vigorous, and enthusiastic approach to all tasks, great or small.The ability to handle multiple concurrent projects and drive resolution (or escalation) of significant issues, many involving time pressured situations.A global mindset with the ability to work collaboratively and effectively across geographies and cultures.Maturity, stature, and formidable interpersonal skills; one whose counsel and judgment are actively sought.Outstanding written and oral communication skills.A keen understanding of business and commerce, the ability to diagnose legal problems, and present positive, creative solutions and alternatives for management.The ability to effectively manage relationships with outside counsel to maximize the quality of representation and remain within budget.Location of role preferred in Charlotte, NC HQ – designated Hybrid.Choose to unlock your full POTENTIAL.
