Deriva Energy, a portfolio company of Brookfield Renewable U.S., a nationwide leader in sustainable energy, provides wind, solar, resilient backup power, and managed energy services to over 1,000 projects across the U.S., with a total electric capacity of more than 5,100 megawatts of nonregulated renewable energy, is seeking a Deputy General Counsel.The Deputy General Counsel will provide complex legal guidance and advice for the Company. In this position, the Deputy General Counsel will provide legal counsel on various commercial issues relevant to the Company’s business including operations, commercial matters, financings, project development, general corporate matters, real estate matters, M&A, regulatory and litigation matters, and other major projects and initiatives. This position reports to the General Counsel and is located in our Charlotte, N.C. offices.Responsibilities

Lead projects of significant importance to the Company from a legal, risk, value or policy perspective.Manage members of the legal team to deliver on priorities for the business.Resolve legal matters arising out of the Company’s businesses, including various renewables projects and transactions.Provide and manage legal support on major transactions, including financings, corporate restructurings and M&A transactions.Provide quality, timely legal advice to management for day-to-day matters and major ongoing projects.Oversee the drafting of legal documents, such as contracts, corporate governance documents or other legal documents, and lead negotiations.Work to establish professional relationships with key stakeholders within and outside the Company related to areas of subject matter expertise.Manage outside counsel to maximize efficiency, including managing litigation matters through external litigation counsel.Lead and/or serve on committees, special projects or other assignments as directed to further departmental goals.Assist in developing and implementing company legal policies, processes, and standards.Basic/Required Qualifications

Bachelor's DegreeDoctor of Jurisprudence degree (JD) from an accredited law schoolMinimum of 10 years of experience practicing lawLicensed to practice law in North Carolina or licensed to practice in any state in the US and eligible for comity.Desired/Additional Qualifications
