Your legal knowledge and contributions will help us ensure that we are supporting the needs and interests of the patients we serve.Edwards Lifesciences is seeking an experienced commercial attorney to serve as Sr. Manager, Corporate Counsel, responsible for the timely and thorough advice, counsel and negotiation of a wide variety of commercial contracts. In addition, Edwards is seeking an attorney with experience in technology and digital health transactions. This role will be reporting directly to the VP, Corporate Counsel within the Law Department’s Commercial Transactions group and will also align to support the Law Department’s business unit or functional Law Lead attorney. The role will also closely coordinate with the IP, Regulatory, Employment and Privacy teams within the Law Department. Providing legal guidance to the company on the negotiation on a variety of commercial agreements (e.g., non-disclosure agreements, master service agreements (MSAs), software licensing, SaaS, development agreements, and agreements with healthcare professionals (HCP’s)).Working directly with and advise key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues.Developing, managing and conducting training to internal clients on legal contract principles.Familiarity with data privacy, regulatory and information security legal issues as they pertain to software as a medical device (SaMD).Working on special assignments as needed, including leveraging one’s own expertise to partner alongside various Business Units and functions within Edwards, supporting business strategy with legal advice and counsel.Managing competing priorities in a fast-paced environment; set priorities for self and applicable team members.Ability to think strategically, analyze problems and present creative and practical legal business solutions; escalate issues to management as appropriate.What you’ll need (Required):

J.D. degree from an ABA accredited law school and admitted to practice law in California in good standing.A minimum of 4 years of experience as in-house counsel and/or as a law firm associate.Demonstrated experience in commercial transactions and contracts in an in-house setting or within a law firm setting.Ability to interact professionally with all organizational levels and proactively escalate issues to appropriate levels of management in the organization.Excellent written and verbal communication skills, analytical skills, and interpersonal relationship skills, including negotiating and relationship management skills with ability to drive achievement of objectives.Understanding of related aspects of legal processes and/or systems.What else we look for (Preferred):

Background in the medical device, pharmaceutical, or related healthcare industry preferred.Experience in digital healthcare or software as a medical device is highly desired.Working knowledge of intellectual property law is preferred.Aligning our overall business objectives with performance, we offer competitive salaries, performance-based incentives, and a wide variety of benefits programs to address the diverse individual needs of our employees and their families.For California, the base pay range for this position is $128,000 to $181,000 (highly experienced).
