Job Description

Summary:The System Director/Sr. Counsel, Business Operations and Transactions provides legal services on matters relating to business operations, contracts, governance and transactions involving hospitals, ancillary and ambulatory facilities, physician groups and other providers within a nonprofit healthcare system. This attorney will work with and at the direction of more senior attorneys and autonomously within designated areas. They must be able to interact effectively with all levels of staff and management in connection with matters handled.This attorney should have experience with (commensurate with years of relevant practice) and interest in continually expanding their understanding of contractual, transactional, governance and regulatory issues arising in connection with the operation of hospitals, ancillary services, ambulatory facilities, physicians and physician groups, other healthcare providers and healthcare systems. The attorney should be familiar with the common forms of agreements arising in connection with healthcare systems operations, including professional services agreements, medical director agreements, recruitment agreements, and physician employment agreements. The attorney should also have experience in mergers, acquisitions and joint venture transactions, including experience in due diligence review and analysis, drafting and reviewing terms sheets, letters of intent, definitive and ancillary transaction agreements, and organizational documents such as Articles, Bylaws and LLC Operating Agreements. This attorney must have solid knowledge of or demonstrated interest in and ability to learn applicable healthcare laws and regulations that arise in the context of healthcare business transactions, including those relating to: Stark, Anti-Kickback, improper beneficiary inducements, False Claims and HIPAA, as well as other relevant areas of law including corporate governance, antitrust, non-competition, and tax-exemption laws and regulations. This attorney should be able to provide accurate and timely regulatory analysis and guidance related to current or desired future healthcare business operations, contractual relationships, transactions and governance structures. This position requires the ability to provide legal guidance and information through formal and informal communications, presentations to System personnel at various levels of seniority and to members of governing boards, and drafting and revising applicable policies and governance resolution.Based on experience, this position requires the ability to work at the level of a law firm junior to senior-level associate. The attorney should demonstrate initiative, sound judgment and clear thinking, with a strong commitment to continuous learning and client service. This position requires the ability to work collaboratively with all members of the Legal Services Department and with other CHRISTUS staff to achieve results and provide needed services in a timely, professional manner.This System Director/Sr. Counsel reports to and is supervised by a designated Vice President in the Legal department. This attorney also works under the supervision of other senior attorneys in the Legal Services Department.Education:Juris Doctor degreeExperience:Four to twelve years of legal experience working on healthcare-related and/or general corporate contractual and transaction matters in a law firm or in-house counsel setting, exclusive of litigation.Candidates with more limited healthcare law experience must have a demonstrated interest in practicing healthcare law.Experience working in or for a multi-state healthcare system and/or a nonprofit health system is a plus.Skills:Solid knowledge of and/or demonstrated interest in developing further expertise in healthcare-related laws and regulations applicable to contracts and transactions involving hospitals, ancillary and ambulatory facilities, physicians, physician groups and other healthcare providers and functions.Strong drafting, writing and analytical skills.Excellent interpersonal and communications skills.Ability to quick grasp new concepts, information and nuances in connection with legal and related operational issues.Ability to efficiently analyze factual circumstances and apply relevant legal principles within a real-world context.Ability to effectively communicate and work collaboratively with internal clients and other attorneys and functional leaders across the System.Licenses, Registrations, or Certifications:License to practice law in Texas, or ability to become licensed within one year of starting work.
