Position Overview:

Aramco Trading Americas (ATA) is seeking to hire Corporate Counsel with expertise in general contracting, compliance, litigation, governance, and HR matters. The successful candidate will support ATA’s Corporate Support team, including Finance, IT, Procurement, Internal Audit and HR, as well as Litigation and Corporate Compliance in support to the business.This role reports to the ATA Chief Counsel and works closely with other counsel in ATA’s Law department. This role will also act as a liaison with other lawyers in ATA’s affiliated companies in the Middle East, Europe, and Asia to ensure coordinated legal support across the group of Aramco Trading affiliated companies.Responsibilities:

Draft, review and negotiate procurement, subscription, licensing, and service agreements in support of the ATA Corporate Support team.Legal advisory to HR function, including but not limited to, employment agreement drafting and support, employment policy and procedures advice, employment law notices, training materials and support, performance management and discipline, and termination and severance advice.Supervise and manage the implementation of compliance policies and procedures in line with the Saudi Aramco Ethics and Regulatory Compliance Framework (“ERCF”).Legal advisory to Corporate Compliance function, including legal screenings for gifts, meals and entertainment, travel and expense screenings, conflict of interest screenings, and due diligence screenings for 3rd parties.Liaise, as appropriate, with cross-functional teams responsible for responding to requests for information, compliance inquiries, and investigations initiated by state or federal agencies.Litigation management and support.Corporate secretarial support as Assistant Board Secretary, preparing and drafting corporate governance documents.Keep informed of and advise on new laws, regulations, and industry trends.Take on any additional special projects and support other corporate support initiatives as necessary.Experience and Qualifications Required:

Basic Qualifications:

JD degree with strong academic credentials.An active license to practice law in the US.Minimum of 8+ years of legal experience; preferably 4+ years in support of Commodity Trading business either in private practice or in an in-house legal department.Excellent written and oral communication skills.Ability to precisely draft documents, policies, and legal guidance that is concise and digestible for non-lawyers.Detail oriented, organized, and effectively able to manage multiple matters while balancing competing deadlines.Capable of working independently, with others in the legal department, and across the company with non-lawyer stakeholders.Must be able to work in an office environment located in downtown Houston, TX.Preferred Qualifications:

Experience handling legal workstreams in support of corporate functions, including IT, HR, Internal Audit, Finance, Procurement and Corporate Compliance.Experience partnering with compliance organizations to support the design, implementation, and administration of corporate compliance programs.Commercial litigation management experience.Experience in FCPA, Anti-Boycott, Anti-Corruption, Anti-Money Laundering, Anti-Trust and other corporate compliance legal advisory support.We reserve the right to amend or withdraw Motiva jobs at any time, including prior to the closing date.
