The Associate Counsel, Sales/Commercial Transactions will be part of the Zelis Sales Legal Team and responsible for providing legal support and advice to the Zelis Sales and Client Management team (Zelis Sales). The Associate Counsel will work closely with senior management and Zelis Sales to draft, review, negotiate and complete agreements with clients, such as health plans and self-insured plans, and strategic partnerships that Zelis has with other organizations. This role will assist with a wide variety of sales transactional matters spanning a range of regulatory and policy areas, including, but not limited to federal and state regulation of health insurers, ERISA, and HIPAA privacy and security.
The Associate Counsel will report to the Vice President—Managing Counsel, Sales and work closely with fellow Sales Legal Team members and other members of the Zelis Enterprise Legal team to provide effective, efficient, and timely legal advice to the Zelis Sales.
Key Responsibilities
Serves as key lawyer/legal advisor on sales transactions for the company.Draft, review, negotiate and complete sales contracts, including but not limited to Business Associate Agreements, Master Service Agreements, Statements of Work, amendments, Referral Agreements, and Reseller Agreement.Analyze and advise on various contractual matters and issues.Conduct research and analysis of legal issues.Interpret laws, rulings, and regulations for individuals and business.Advise on, handle and manage resolution of client disputes.Coordinate with Sales and the business to ensure the company is transacting and conducting its business in compliance with applicable laws and regulations, such as HIPAA, ERISA and TCPA.Collaborate within the Sales Legal Team on development and refinement process and procedures, including updates to contract forms and playbook.Manage and prioritize workload to meet Sales and business timing objectives.Requirements, Knowledge And Skills
Graduate of an accredited law school. Active member of NJ, MA, NY, GA or FL bar.3+ years’ experience as a transactional attorney, with focus on drafting and negotiating agreements. Sales, Technology, Healthcare, Health plans and/or HIPAA experience is preferred.In-house experience preferred, but not required.Experience working with sales teams to close transactions.Collaborative team player with a professional attitude and strong sense of discretion.Excellent time management and organizational skills.Excellent interpersonal communication skills.Demonstrated accountability and keen ability to meet aggressive time frames.Excellent knowledge and understanding of business/commercial law.Sound judgment and exceptional analytical and communication skills.High degree of professional ethics and integrity.Demonstrated ability to create legal defensive or proactive strategies.Handling disputes that may arise in existing commercial relationships.Knowledge of MS Office suite.Ability to make decisions and provide advice based on data, business needs, and the law and to explain the rationale for the decision to a curious and empowered team.Ability to function in fast paced, dynamically evolving and rapidly growing start-up environment.As a leading payments company in healthcare, we guide, price, explain, and pay for care on behalf of insurers and their members.
