.Responsibilities

• Provides advice and counsel on the development and financing of affordable housing projects for community development and revitalization. Leads efforts to expand access to high-quality healthcare, reduce health disparities, address social determinants of health, and promote more equitable and effective health.• Collaborates with diverse stakeholders and works with all aspects of affordable housing transactions including ground leases, corporate resolutions, operating agreements, and general real estate work.• Takes the lead role in negotiating matters relating to real estate transactions including purchase agreements, commercial leases, and any related due diligence (including review of title commitments and related documents). Reviews and negotiates construction agreements, including construction management agreements, owner-contactor agreements, and architect services agreement. Reviews and negotiates leases and subleases, easements, licenses and other right of entry documents, loan documents, assignment, and assumption agreements. Reviews, drafts, and negotiates deeds and new entity corporate creation documents. Coordinates filing new entity corporate documents.• Reviews, negotiates, and assists in the development of hospital contracts including asset purchase agreements, affiliation, employment, and information technology agreements, and other complex vendor contracts. Analyzes contracts for compliance with relevant laws.• Provides legal review and advice on complex healthcare transactions and arrangements, analyzing transactions for compliance with relevant laws, including fraud and abuse and non-profit tax laws.• Provides legal review, analysis, and advice with respect to the development and implementation of policies, procedures, and processes and decisions.• Develops legal strategies and supervises outside counsel on a variety of healthcare transactional and regulatory matters.• Completes, on a timely basis, projects as assigned by the Senior Associate General Counsel (s) and Deputy General Counsel and General Counsel.Qualifications

Education Requirement : Juris Doctorate and licensed to practice law in the State of Ohio, prefer undergraduate or graduate degree in a healthcare field.

Skills:

Knowledge of real estate finance, government incentive programs, corporations, partnerships, and limited liability companies.

Experience:• Seven years’ experience with concentration in the areas of real estate transactions and corporation management.• Experience in a medium to large law firm or inhouse counsel or academic medical center, preferred.• Two years of transactional experience involving Low Income Housing Tax Credits, preferred.
