CFC has a need for a Corporate Counsel to join the Legal Services team. This is a hybrid position requiring onsite work at our headquarters office in Sterling, VA, as well as optional remote workdays. The Corporate Counsel will provide in-house legal support to staff on commercial lending transactions of varying complexity.

As the Corporate Counsel, you will:

Draft, review and negotiate loan documentation including term sheets, confidentiality agreements, secured and unsecured loan agreements, credit agreements, security agreements, mortgages, indentures, guarantees, resolutions, opinions and other ancillary documents.Provide legal advice and transactional support for lending transactions, including analysis and advice on loan and collateral documentation ensuring the documentation correctly interprets and applies CFC’s preferred terms, covenants and conditions for commercial lending transactions.Advise internal business stakeholders on various borrower issues and impacts on the loan documents, covenants and lien perfection.Assist with the development and analysis of complex financing structures and legal consequences of various alternatives.Identify areas of legal risk and provide advice to business representatives.Perform legal research on various topics, analyze impact and provide recommendations and represent organization as applicable.

To be successful, you will need:

JD from an ABA accredited law school.Active member of a state bar.Minimum of 5 years of experience in commercial lending or corporate finance in a law firm or as in-house counsel.Meaningful experience representing lending institutions and/or borrowers in large corporate or middle-market commercial lending transactions (secured and unsecured lending transactions, bilateral or syndicated).Advanced working knowledge of one or more specialty areas including commercial lending, capital markets loan syndications or real estate financing; familiarity with letter of credit law, a plus.Advanced MS Office Suite, document management software and internet research skills.Advanced written and verbal communication skills.Proven legal analysis and legal writing skills.Proven ability to negotiate and represent the interests of the company in a professional manner.Proven ability to set priorities and manage multiple tasks.Proven attention to detail and organizational skills.Ability to work independently with little supervision, as well as cooperatively in a team environment.
